NEEDHAM, Mass., Sept. 15, 2026 /PRNewswire/ -- Tripadvisor, the world's leading travel platform, today announced the winners of its annual Travelers' Choice Awards: Best of the Best Restaurants for 2026.

Based on first-hand reviews and opinions submitted by a global community of millions of diners over the last year, winners rank among the top one percent of all listings on Tripadvisor, offering a trusted guide to unforgettable meals for travelers across the globe.

Categories for this year's awards include Fine Dining, Casual, Date Night, Hidden Gems, and Vegan & Vegetarian, as well as four new categories centered on food experiences. As travelers increasingly seek out immersive culinary experiences that bring destinations to life, this year's awards introduce Best of the Best Food Tours, Cooking Classes, Wine & Beer Tours, and a Viral Right Now category highlighting current top trending culinary sensations.

"From cooking classes with locals to incredible food tours and restaurants, these are the kinds of experiences that can become a highlight of a trip — or even a reason to take one."

This year's awards bring together acclaimed culinary icons and local institutions across Tripadvisor's core restaurant categories. Fogón Asado in Buenos Aires claims the No. 1 spot in the world on the Fine Dining list for its intimate, interactive open fire asado tasting experience, while Ristorante Paoletti in Highlands, North Carolina, grabs the top title in the U.S. for its elevated Northern Italian cuisine and legendary wine cellar.

Expanding beyond traditional sit-down meals, this year's awards also spotlight the growing appetite for immersive, bookable culinary experiences and social-media-driven discoveries through four new experiential categories. Leading the global Food Tours list is the Reykjavik Food Walk in Iceland, offering travelers immersive tastings of local specialties, while Seattle's Chef Guided Food Tour of Pike Place Market secures the No. 1 spot in the U.S.

In Cooking Classes, the Rome Pasta and Tiramisu Class ranks No. 1 globally for turning travelers into authentic Italian home chefs, while the Cape Town Wine Tour (Paarl, Franschhoek & Stellenbosch) and Michigan's 5-Hour Traverse City Wine Tour claim top honors in Wine & Beer Tours for the World and U.S., respectively.

The new Viral Right Now list recognizes world-famous foodie sensations that have captured global social feeds, headlined by London's beloved Bombay-style eatery Dishoom and Ho Chi Minh City's legendary Banh Mi Huynh Hoa.

EUCLYD Raises Over €200 Million to Break the AI Efficiency Wall
Image File
Original HTML

As foundation models grow more capable, deploying them requires more power, memory bandwidth, and capital while adding infrastructure complexity. EUCLYD is developing a platform spanning crafted compute, innovative memory architecture, and datacenter systems to break this efficiency wall and transform AI inference economics.

EUCLYD's long-term vision is Abundant Intelligence: a future in which advanced AI is no longer constrained by infrastructure cost, power availability, or geography. Founded by Bernardo Kastrup and Atul Sinha at High Tech Campus Eindhoven, Europe's smartest square kilometer, EUCLYD draws on the campus's semiconductor ecosystem and Europe's engineering heritage.

At the center of EUCLYD's roadmap are craftwerk, the world's first agentic AI silicon, and craftwerk station CWS, the world's lowest-power exascale AI factory. The platform combines programmable ASIC compute, processor-memory co-design, and system-level optimization to overcome the memory and efficiency walls limiting AI performance and scalability.

"AI is becoming a foundation of economic growth, scientific discovery, and national competitiveness, but its potential will remain constrained unless we fundamentally change the infrastructure beneath it," said Bernardo Kastrup, Founder and Chief Executive Officer of EUCLYD. "This financing accelerates our mission to make intelligence abundant through greater efficiency, lower cost per token, and broader access to advanced AI."

"The next phase of AI will be defined not only by model innovation, but also by the efficiency and scalability of its infrastructure," said Dede Goldschmidt, Senior Vice President of Samsung Electronics and Head of the Samsung Semiconductor Innovation Center. "EUCLYD combines an accomplished team with a differentiated vision addressing constraints in AI datacenters."

"Europe has the engineering talent to produce globally significant technology companies," said Ted Persson, Partner at EQT and Co-Head of the Scaleup Europe Fund. "EUCLYD combines deep semiconductor expertise with a mission to tackle some of the hardest constraints in AI infrastructure. That mix of European engineering depth and global ambition is what we're here to back."

"Europe possesses world-class capabilities across semiconductors, advanced manufacturing, and systems engineering," said Peter Wennink, Chairman of the Board of EUCLYD and former President and Chief Executive Officer of ASML. "EUCLYD can transform those strengths into a globally competitive AI infrastructure platform."

The financing will expand EUCLYD's engineering organization, accelerate its silicon and systems roadmap, strengthen ecosystem partnerships, and prepare the company for commercial deployment across enterprise, sovereign, and hyperscale AI markets.

ABOUT EUCLYD

EUCLYD is a European semiconductor systems company developing ultra-efficient infrastructure for foundation AI models. Its roadmap spans agentic AI silicon, advanced memory architecture, and datacenter systems engineered to reduce cost, energy use, and footprint. Agentic AI Foundation Welcomes the Gates Foundation to Help Expand the Benefits of Agentic AI Globally

Collaboration will bring the needs of underserved communities into the open ecosystem shaping agentic AI

Summary

- Gates Foundation becomes the first philanthropic organization to join the Agentic AI Foundation (AAIF) and bring its global perspective across health, education, agriculture and economic opportunity to the open source and open standards ecosystem shaping agentic AI.

- Collaboration will help ensure the needs of underserved communities and low-income countries are considered as the foundational technologies and standards for agentic AI are developed.

- Gates Foundation will serve as a Diamond Sponsor of the first Africa-based MCP Dev Summit in Nairobi, supporting attendees from across the continent to join and drawing on its network of partners and grantees to help ensure broad representation across African countries and communities at the event.

SAN FRANCISCO, Sept. 15, 2026 /PRNewswire/ -- The Agentic AI Foundation (AAIF), the neutral home where the agentic stack is being built, today announced that the Gates Foundation has joined as the first philanthropic organization, with Matt Vasey, senior advisor of AI strategy and ecosystems, taking a seat on the AAIF board. The Gates Foundation brings its perspective across global health, education, agriculture and economic opportunity to the community building the open technologies and standards that will underpin agentic AI.

"AI has enormous potential to expand opportunity, but realizing that potential requires being deliberate about who has a voice in shaping the technology," said Mazin Gilbert, executive director of the Agentic AI Foundation. "Too often, the communities that stand to benefit the most from a new technology are far removed from the places where the underlying decisions are made. The Gates Foundation brings that perspective into AAIF and by connecting developers and communities around the world with the open projects building the foundations of agentic AI, we can widen the circle of people shaping what comes next."

The Gates Foundation has long worked to ensure advances in technology translate into meaningful progress for people around the world, particularly in underserved communities. As AI creates new possibilities across health, education, agriculture, and economic opportunity, the foundation is focused on helping ensure those benefits are broadly shared. Its membership in AAIF extends that work to the foundational layer of agentic AI, bringing perspectives from the communities it serves into an open, neutral forum, and actively contributing to the technical direction of AAIF's open projects and standards, both current and future, so that LMIC needs are reflected at the foundational layer of the ecosystem.

Together, AAIF and the Gates Foundation will work to broaden participation in the open source communities building agentic AI, including by creating more opportunities for developers in regions that have historically been underrepresented in major technology ecosystems to participate and contribute.

That commitment will begin with MCP Dev Summit Nairobi, where the Gates Foundation has established a fund to support attendance innovators across the continent. The investment will help more developers access the region, connect with the broader community and participate directly in conversations around the open technologies shaping agentic AI. To learn more about MCP Dev Summit Nairobi, click here.

"The standards being developed today will determine whether AI actually works for the billions of people the Gates Foundation aims to serve in underserved communities and low-income countries," said Matt Vasey, senior advisor at the Gates Foundation. "We're joining AAIF because getting this right requires building with equity from the start so this technology can truly transform lives and livelihoods everywhere."

By joining the AAIF, new members gain access to a global ecosystem where they can directly shape emerging standards, collaborate on open source innovation, and help meet growing demand for interoperable, standardized agentic infrastructure. For information on becoming a member, visit our website.

About the Agentic AI Foundation

The Agentic AI Foundation (AAIF) is the neutral home where the agentic stack is being built. New solutions and innovations from VTT and Finnish food companies pave the way for profitable plant-based ingredient business

ESPOO, Finland, Sept. 15, 2026 /PRNewswire/ -- In recent years, the development of plant-based food ingredients has focused on proteins and their production processes. The RETHINK project by VTT and the Finnish food industry shows that achieving profitability in the sector requires a new way of thinking: value should be created from every stream generated in plant ingredient production, new ingredients need to be developed to suit their targeted end use, and companies and other operators must strive for closer cooperation. The project also produced several tangible inventions.

One of the key development goals for food system operators is a sustainable shift toward more plant-based diets. This shift will yield positive effects on public health, the environment and resilience of the society.

In the RETHINK project, funded by Business Finland, VTT Technical Research Centre of Finland and Finnish ingredient and food companies examined how profitable business can be built around the production of plant-based ingredients in the Finnish operating environment.

Plant-based ingredient production refers to the processing of plant raw materials, such as oats and faba beans, into various ingredients used by food manufacturers in food production.

"Globally, food production is shifting towards more local and distributed production models, as companies and societies strive to strengthen their resilience. Finland is in a great position to create new plant-based production chains and profitable business, leading to growth in the industry. We have plenty of active farmers and capacity for regional raw material production, as well as growing interest in plant-based products from the food industry and retail sector," says Emilia Nordlund, responsible leader of the project at VTT.

Complete raw material utilisation and closer collaboration will lead to profitability

Many current business models focus on plant protein production, which means a significant share of the raw material value is not maximally used. For example, peas yield protein for meat substitutes, but their carbohydrate-rich side streams often end up as animal feed with a considerably lower economic value than that of protein products. According to the experts working in RETHINK, profitable production models require creating added value from every fraction generated in ingredient production.

"It is especially critical to find the high value use cases for carbohydrate-rich fractions, as they often comprise the largest share of the raw material. We should be boldly looking for uses beyond the food sector too. In cosmetics, for example," Nordlund notes.

According to the project's experts, growth also requires closer collaboration among food system operators. Farmers, ingredient producers, food companies, investors and decision-makers need to build shared practices that reduce supply risks and enable production to scale. Investment-ready production models enable planning for raw material availability, quality, processing, end-use applications, and commercial routes as a unified whole.

One example of cross-company collaboration in the RETHINK project is the shared development work by Viking Malt and Valio, which produced a solution made from germinated faba bean protein granule for the plant-based and hybrid meat product market.

"Our collaboration is based on a shared goal: to maximise the value of Finnish plant-based raw materials by drawing on Finnish expertise and our best practices. Viking Malt's experience with germination and Valio's commercialisation know-how made it possible to create an entirely new kind of food product," say Susanna Kallio, Vice President, Plant-Based Business at Valio, and Xin Huang, Group R&D Manager at Viking Malt.

New inventions enable more effective use of grain and legume proteins and fibre

The new solutions developed by VTT during the project are geared towards securing locally profitable production as well as manufacturing nutritionally valuable ingredients and end products without complex processing. For example, enzyme-assisted processing methods reduce chemical use and improve the functionality of ingredients.

"In RETHINK, we patented an entirely new way to concentrate and apply oat dietary fibre, beta-glucan. This invention makes it possible to add fibre to liquid products so that the fibre stays intact while the liquid remains pourable and without a paste-like texture," Nordlund describes.

VTT researchers also developed a new pretreatment technique for the protein separation process, which prevents the unpleasant off-flavours typical of legume-based ingredients and expands the possibilities for using legumes in food products.

New spin-off company Happy Plant Protein upscales plant protein production

Research carried out under RETHINK also helped advance the technology commercialised by VTT spin-off Happy Plant Protein from the development stage toward commercial readiness. The new technology separates protein from carbohydrates and texturises the protein using only a single process step.

"Happy Plant Protein is reshaping the market with its production process. It's also an excellent example of a company with international ambitions making use of existing food industry infrastructure and local raw materials," Nordlund says.

The company has progressed from research innovation to international commercialisation, and its technology is now being used in industrial production projects in both Latvia and the Netherlands.

Electronic Line Calling and AI Broadcasting Make CIFTIS Debut: Orange Lion Sports' Smartshot 2.0 Presents an Inclusive "Sports + AI" Solution

BEIJING, Sept. 15, 2026 /PRNewswire/ -- Orange Lion Sports, founded by Alibaba Group, has unveiled Smartshot 2.0, the upgraded version of its AI sports solution, at the Sports Services exhibition during the 2026 China International Fair for Trade in Services (CIFTIS), held September 9-13 in Beijing.

From six-camera Hawk-Eye electronic line calling and AI-powered auto-directing to the debut of a voice-interactive smart ball machine, the company is advancing a cost-effective approach to inclusive sports technology, bridging the gap between professional competition and mass participation to "make sports simple."

At CIFTIS 2026, Orange Lion Sports' replica tennis court became a focal point. Smartshot 2.0 introduced an upgraded electronic line calling system designed to address long-standing disputes over line calls at amateur tennis events. As soon as the ball lands, a large screen provides instant in/out calls and can announce "IN/OUT" at adjustable volumes. The system supports smoother, fairer amateur competitions at a low marginal cost without requiring additional labor.

AI commentary and auto-directing cut broadcasting costs of up to hundreds of thousands of yuan, making high-quality broadcasts more accessible. AI-powered robots are becoming a valuable complement to traditional sports coaching.

In Orange Lion Sports' roadmap, Smartshot will work with the smart ball machine to interact with trainees through natural language, instantly adjusting ball settings, placement and speed to create personalized training programs and help beginners improve more efficiently.

Leveraging Alibaba's technology capabilities, Smartshot has integrated the Tongyi Qwen large language model to launch what it describes as the industry's first "AI Tournament Assistant" in the first half of 2026. The assistant understands natural-language instructions and parses PDF regulations, enabling scheduling and registration to be completed in minutes. Smartshot now offers pricing at one-tenth that of comparable offerings.

"Our goal is to find the optimal balance between precision and cost control, consistent with our long-standing technical philosophy. We reject expensive professional premiums and pursue cost-effective, inclusive technology," said Peng Wei, CTO of Orange Lion Sports.

Since its launch, Smartshot has been deployed across more than 500 courts and expanded into overseas markets, with installations in Europe, Australia, Hong Kong SAR, and Taiwan region. Looking ahead, as AI advances in sports, Orange Lion Sports' approach to balancing commercial value with accessibility aims to make professional-grade smart equipment more affordable and accessible worldwide.

RYBREVANT FASPRO™ (amivantamab and hyaluronidase-lpuj) plus LAZCLUZE® (lazertinib) with prophylactic strategies shows low rates of treatment-related events at WCLC 2026
Image File
Original HTML

- Low rates of rash, blood clots and administration-related reactions were observed with subcutaneous treatment and prophylaxis

- Fewer than 1% of patients discontinued treatment due to treatment-related events at one year

- New findings from Johnson & Johnson build on the MARIPOSA survival benefit and strengthen evidence for RYBREVANT FASPRO plus LAZCLUZE as first-line treatment

SEOUL, South Korea, Sept. 14, 2026 /PRNewswire/ -- Johnson & Johnson (NYSE:JNJ) today announced new results from the Phase 2b COPERNICUS study evaluating how subcutaneous RYBREVANT FASPRO (amivantamab and hyaluronidase-lpuj) plus LAZCLUZE (lazertinib), with less frequent dosing and prophylactic strategies, can improve the treatment experience for patients with previously untreated advanced non-small cell lung cancer (NSCLC) with common epidermal growth factor receptor (EGFR) mutations. Early results show consistently low rates across key treatment-related events and treatment discontinuation.1

COPERNICUS was designed to reflect everyday clinical practice, enrolling a racially and ethnically diverse patient population across both academic and community sites. The data were presented at the International Association for the Study of Lung Cancer (IASLC) 2026 World Conference on Lung Cancer (WCLC) (Abstract #M012.09).1

RYBREVANT FASPRO dual-targets EGFR and mesenchymal-epithelial transition (MET), two key drivers of tumor growth and treatment resistance, while also engaging the immune system.2,3,4,5 It is approved across multiple EGFR-mutated advanced NSCLC treatment settings and, for eligible patients, offers once-monthly dosing following initial weekly dosing.6

Advancing the treatment experience with RYBREVANT-based regimens

"RYBREVANT plus LAZCLUZE has already shown that patients with EGFR-mutated lung cancer can live longer, and these latest results mark an important evolution in the treatment approach," said Balazs Halmos, M.D., M.S., Director of Thoracic Oncology and Associate Director of Clinical Science, Montefiore Einstein Comprehensive Cancer Center. "With subcutaneous administration, less frequent dosing and prophylactic strategies, the regimen has been developed with the treatment experience in mind, helping patients start treatment and stay on it."

"Our work with RYBREVANT in EGFR-mutated lung cancer has continued to evolve with each new piece of evidence, from extending survival to advancing how treatment is delivered and managed," said Yusri Elsayed, M.D., M.H.Sc., Ph.D., Global Therapeutic Area Head, Oncology, Johnson & Johnson. "COPERNICUS brings those learnings together in a study designed around the realities of clinical care. It reflects our commitment to continually innovate across the treatment journey so that scientific advances can make a meaningful difference for more patients."

Detailed study results

In this analysis, 214 U.S. patients received the recently approved RYBREVANT FASPRO plus LAZCLUZE regimen with prophylactic strategies to reduce the risk of blood clots with oral anticoagulation and skin-related side effects with an enhanced, easy-to-use skin care regimen evaluated in the COCOON study.1,7

At a median follow-up of 8.3 months, the majority of adverse events were Grade 1 or 2, with no new safety signals observed. Only eight percent of patients discontinued treatment due to adverse events. Rash was reported in 25 percent of patients, while administration-related reactions (ARRs) and venous thromboembolism (VTE) were each reported in three percent. No patients discontinued due to ARRs, and one percent discontinued due to rash and VTE.1

These findings represent lower numerical rates than observed with intravenous RYBREVANT® (amivantamab-vmjw) plus LAZCLUZE in the Phase 3 MARIPOSA study, where rash, ARRs and VTE during the first four months of treatment were reported in 55 percent, 55 percent and 23 percent of patients, respectively. MARIPOSA also demonstrated that patients with advanced EGFR-mutated advanced NSCLC treated with the first-line regimen lived longer than those treated with osimertinib, with a statistically significant overall survival benefit (hazard ratio [HR], 0.75; P=0.005).8

COPERNICUS is one of the largest global studies conducted in patients with EGFR-mutated NSCLC, with a target enrollment of 300 previously untreated patients. Of the population reported here, median age was 67 years, 22 percent were age 75 or older, 27 percent were Asian, 10 percent were African American and 10 percent were Hispanic/Latino.1

This study reflects Johnson & Johnson's continued focus on improving the treatment experience for people with cancer, including how treatments are delivered and managed in everyday care.

About the COPERNICUS study

COPERNICUS (NCT06667076) is a Phase 2b, single-arm study evaluating RYBREVANT FASPRO plus LAZCLUZE with prophylactic strategies in patients with EGFR-mutated advanced non-small cell lung cancer. Cohort 1 evaluates the regimen in the first-line setting, incorporating once-every-four-weeks dosing, venous thromboembolism (VTE) and enhanced dermatologic prophylaxis.

The study uses a pragmatic design to more closely reflect real-world clinical practice, with participation from academic and community sites and reduced visit frequency. The primary endpoint is investigator-assessed progression-free survival per RECIST v1.1. Secondary endpoints include safety and tolerability measures, including VTE and dermatologic adverse events and administration-related reactions, as well as overall survival and overall response rate.9

About non-small cell lung cancer

Worldwide, lung cancer is one of the most common cancers, with non-small cell lung cancer (NSCLC) making up 80 to 85 percent of all lung cancer cases.10,11 The main subtypes of NSCLC are adenocarcinoma, squamous cell carcinoma, and large cell carcinoma.12 Among the most common driver mutations in NSCLC are alterations in EGFR, which is a receptor tyrosine kinase controlling cell growth and division.13 EGFR mutations are present in 10 to 15 percent of Western patients with NSCLC with adenocarcinoma histology and occur in 40 to 50 percent of Asian patients.10,11,14,15,16,17 EGFR ex19del or EGFR L858R mutations are the most common EGFR mutations.18 The five-year survival rate for all people with advanced NSCLC and EGFR mutations treated with EGFR tyrosine kinase inhibitors (TKIs) is less than 20 percent.19,20 EGFR exon 20 insertion mutations are the third-most prevalent activating EGFR mutation.21 Patients with EGFR exon 20 insertion mutations have a real-world five-year overall survival (OS) of eight percent in the frontline setting, which is worse than patients with EGFR ex19del or L858R mutations, who have a real-world five-year OS of 19 percent.22

About RYBREVANT FASPRO and RYBREVANT

RYBREVANT FASPRO (amivantamab and hyaluronidase-lpuj) received U.S. FDA approval in December 2025 and is approved in multiple markets worldwide for the treatment of adults with EGFR-mutated non-small cell lung cancer (NSCLC), including those with exon 19 deletions, exon 21 L858R substitution mutations, and exon 20 insertion mutations. It is the only subcutaneous therapy approved for these EGFR-mutated NSCLC populations and may be used as monotherapy or in combination with LAZCLUZE (lazertinib) or chemotherapy, depending on the specific mutation and treatment setting. For eligible patients, RYBREVANT FASPRO offers a once-monthly dosing option following initial weekly dosing. RYBREVANT FASPRO is co-formulated with recombinant human hyaluronidase PH20 (rHuPH20), Halozyme's ENHANZE® drug delivery technology.

RYBREVANT FASPRO is approved in the U.S. for the same indications as intravenous RYBREVANT (amivantamab-vmjw) across multiple markets. RYBREVANT is a first-in-class, fully human bispecific antibody targeting EGFR and MET, designed to inhibit tumor growth while engaging the immune system.

The effectiveness of RYBREVANT FASPRO is supported by the established clinical profile of RYBREVANT, including data from multiple Phase 3 studies such as MARIPOSA, which demonstrated improvements in progression-free and overall survival when used in combination with LAZCLUZE® in first-line advanced EGFR-mutated NSCLC.

The National Comprehensive Cancer Network® (NCCN®) Clinical Practice Guidelines in Oncology (NCCN Guidelines®)‡ 23 include amivantamab-vmjw (RYBREVANT) across its FDA-approved treatment settings, including as a Category 1 preferred option in combination with lazertinib (LAZCLUZE) for first-line treatment of patients with locally advanced or metastatic NSCLC with EGFR exon 19 deletions or exon 21 L858R mutations. Subcutaneous amivantamab and hyaluronidase-lpuj (RYBREVANT FASPRO) may be substituted for IV amivantamab-vmjw (RYBREVANT) where appropriate. See the latest NCCN Guidelines® for NSCLC for complete information.§ ||

The NCCN Guidelines for Central Nervous System Cancers also include amivantamab (RYBREVANT)-based regimens, including in combination with lazertinib (LAZCLUZE), as the only NCCN-preferred combination options for patients with EGFR-mutated NSCLC and brain metastases.§ ||

PARSIPPANY-TROY HILLS, N.J., Sept. 14, 2026 /PRNewswire/ -- PBF Energy Inc. (NYSE:PBF) ("PBF Energy") today announced that its indirect subsidiary, PBF Holding Company LLC ("PBF Holding"), priced $500 million in aggregate principal amount of 0% exchangeable notes due 2032 (the "Notes") in a private offering exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"). The offering is expected to close on September 17, 2026, subject to customary closing conditions. The Notes will be co-issued by PBF Finance Corporation, a wholly owned subsidiary of PBF Holding (together with PBF Holding, the "Issuers"). The Issuers also granted the initial purchasers of the Notes an option to purchase, for settlement within a period of 13 days from, and including, the date the Notes are first issued, up to an additional $50 million aggregate principal amount of Notes.

The Notes will be senior, unsecured obligations of the Issuers. The Notes will not bear regular interest and the principal amount of the Notes will not accrete. The Notes will be fully and unconditionally guaranteed, on a senior unsecured basis, by certain of PBF Holding's subsidiaries (the "Guarantors") that guarantee PBF Holding's existing senior unsecured notes, and will not be guaranteed by PBF Energy Inc. The Notes will mature on January 15, 2032, unless earlier repurchased, exchanged or redeemed. Noteholders will have the right to exchange their Notes in certain circumstances and during specified periods. Exchanges will be settled in cash up to the aggregate principal amount of the Notes to be exchanged and, if applicable, cash, Class A common stock, par value $0.001 per share ("Common Stock") of PBF Energy or a combination thereof, at the Issuers' election, in respect of the remainder (if any) of the Issuers' exchange obligations in excess of the aggregate principal amount of the Notes being exchanged.

The Issuers may not redeem the Notes prior to January 20, 2030, except in the event of a cleanup redemption (as defined below). The Notes will be redeemable, in whole or in part (subject to certain limitations), for cash at the Issuers' option at any time, and from time to time, on or after January 20, 2030 and prior to the 31st scheduled trading day immediately preceding the maturity date of the Notes, but only if the last reported sale price per share of Common Stock has been at least 130% of the exchange price of the Notes for a specified period of time and certain other conditions are satisfied. The redemption price will be equal to the principal amount of the Notes to be redeemed, plus accrued and unpaid special interest, if any, to, but excluding, the redemption date. The Issuers may also redeem for cash all, but not less than all, of the Notes at any time prior to the 31st scheduled trading day immediately preceding the maturity date, if the principal amount of Notes outstanding at such time is less than 10% of the aggregate principal amount of the Notes initially issued under the indenture (including any additional Notes issued pursuant to the initial purchasers' option) (a "cleanup redemption").

If a "fundamental change" (as defined in the indenture for the Notes) occurs, then, subject to limited exceptions, noteholders may require the Issuers to repurchase their Notes for cash. The repurchase price will be equal to the principal amount of the Notes to be repurchased, plus accrued and unpaid special interest, if any, to, but excluding, the applicable repurchase date.

The initial exchange rate is 10.3306 shares of Common Stock per $1,000 principal amount of Notes, which represents an initial exchange price of approximately $96.80 per share of Common Stock. The initial exchange price represents a premium of approximately 37.5% above the last reported sale price per share of Common Stock on the New York Stock Exchange on September 14, 2026, which was $70.40 per share. The exchange rate and exchange price will be subject to adjustment upon the occurrence of certain events.

The holders of the Notes will be entitled to the benefits of a registration rights agreement pursuant to which the Issuers and PBF Energy have agreed to register the resale of the shares of Common Stock, if any, deliverable upon exchange of the Notes under the Securities Act. The registration rights agreement contains significant limitations, and a resale registration statement may not be available at the time investors wish to resell the shares of PBF Energy's Common Stock, if any, deliverable upon exchange of their Notes.

In connection with the pricing of the Notes, the Issuers and PBF Energy have entered into privately negotiated capped call transactions with one or more of the initial purchasers of the Notes or their respective affiliates or certain other financial institutions (the "option counterparties"). The capped call transactions cover, subject to anti-dilution adjustments substantially similar to those applicable to the Notes, the number of shares of Common Stock initially underlying the Notes. The capped call transactions are expected generally to reduce the potential dilution to PBF Energy's Common Stock upon any exchange of Notes and/or offset any cash payments the Issuers are required to make in excess of the principal amount of exchanged Notes, as the case may be, with such reduction and/or offset subject to a cap.

The cap price of the capped call transactions will initially be $123.20 per share, which represents a premium of 75.0% over the last reported sale price of PBF Energy's Common Stock of $70.40 per share on September 14, 2026, and is subject to certain adjustments under the terms of the capped call transactions.

The Issuers have been advised that, in connection with establishing their initial hedges of the capped call transactions, the option counterparties or their respective affiliates expect to enter into various derivative transactions with respect to PBF Energy's Common Stock and/or purchase shares of PBF Energy's Common Stock or other securities of PBF Energy in secondary market transactions concurrently with, or shortly after, the pricing of the Notes, including with, or from, as the case may be, certain investors in the Notes. This activity could increase (or reduce the size of any decrease in) the market price of PBF Energy's Common Stock or the Notes at that time. In addition, the Issuers and PBF Energy expect that the option counterparties or their respective affiliates may modify their hedge positions by entering into or unwinding various derivatives with respect to PBF Energy's Common Stock and/or purchasing or selling PBF Energy's Common Stock or other securities of PBF Energy or the Issuers in secondary market transactions following the pricing of the Notes and prior to the maturity of the Notes (and are likely to do so (x) during any observation period related to an exchange of Notes, following any redemption of Notes by the Issuers or following any repurchase of Notes by the Issuers in connection with any fundamental change and (y) following any repurchase of the Notes by the Issuers other than in connection with any such redemption or any fundamental change if the Issuers elect to unwind a corresponding portion of the capped call transactions in connection with such repurchase). This activity could also cause or avoid an increase or a decrease in the market price of PBF Energy's Common Stock or the Notes, which could affect the ability of holders to exchange the Notes, and, to the extent the activity occurs during any observation period related to an exchange of Notes, it could affect the number of shares of PBF Energy's Common Stock, if any, and value of the consideration that holders will receive upon exchange of the Notes.

The Issuers estimate that the net proceeds from the offering will be approximately $485.0 million (or approximately $533.6 million if the initial purchasers fully exercise their option to purchase additional Notes), after deducting the initial purchasers' discounts and commissions and the Issuers' estimated offering expenses. The Issuers intend to use $25.2 million of the net proceeds from the offering to pay the cost of the capped call transactions, and the remainder, together with available cash, to fund the repayment or redemption, as applicable, of all of its outstanding 7.875% Senior Unsecured Notes due 2030 (the "2030 Notes"). If the initial purchasers exercise their option to purchase additional Notes, the Issuers expect to use a portion of the proceeds from the sale of the additional Notes to enter into additional capped call transactions with the option counterparties, and for general corporate purposes. Pending such use, the Issuers may repay other debt and/or invest the net proceeds in short-term, interest-bearing deposit accounts.

The offer and sale of the Notes, the related guarantees and any shares of PBF Energy's Common Stock deliverable upon exchange of the Notes have not been registered under the Securities Act or any other securities laws, and the Notes, such guarantees and any such shares cannot be offered or sold except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and any other applicable securities laws. The Notes and the related guarantees will only be offered and sold to persons who are reasonably believed to be "qualified institutional buyers" (as defined in Rule 144A under the Securities Act). This press release does not constitute a notice of repayment or notice of redemption of the 2030 Notes.
