Dear Duchenne Community,

We are writing to share an important update on INSPIRE DUCHENNE, our Phase 1/2 clinical trial of SGT-003 for the treatment of patients living with Duchenne. At Solid Biosciences, our mission is driven by the needs and hopes of the Duchenne community, and we are grateful for the trust and partnership you have shown us throughout this journey.

We are pleased to share that we have successfully begun administering our next-generation, investigational microdystrophin gene therapy candidate, SGT-003, to patients with Duchenne in the clinical study. To date, dosing has been well tolerated in these patients with no serious adverse events reported. Based on the safety profile seen to date, we are working diligently on applications to expand the INSPIRE DUCHENNE study to additional clinical sites and are in the process of manufacturing additional material to support an expected increase in the number of patients in our current and future trials. As a reminder, we currently have two clinical sites open and enrolling patients – Nationwide Children’s Hospital led by Dr. Kevin Flanigan and UCLA led by Dr. Perry Shieh. We aim to have a total of six clinical sites active and recruiting patients in the fourth quarter of 2024 in North America, including one site in Canada now that our clinical trial application (CTA) has been authorized by Health Canada. We are also planning to activate additional sites in Europe during the first half of 2025. This expansion will allow more families the opportunity to participate in the study and contribute to the advancement of this new, potential treatment option.

We understand how crucial it is for the patient community to stay informed about clinical research, especially when it comes to making educated and important decisions about available treatment options and clinical research participation. Solid Biosciences remains committed to transparency and intends to share initial data from the INSPIRE DUCHENNE study in the fourth quarter of this year. We believe that keeping the community updated is essential to our mission of improving the lives of those affected by Duchenne.

We deeply value the partnership we have with the Duchenne community and recognize the vital role that families play in the development of new treatments. Your participation in clinical research is paramount, and we are immensely grateful to all the families who choose to be a part of this important work. Dear Duchenne Community,

Earlier today we reported third quarter financial results and provided updates on Solid Biociences Inc.’ (“Solid”) business. Among the highlights, we shared new information about INSPIRE DUCHENNE, our clinical trial of our next-generation AAV gene therapy candidate, SGT-003, for the treatment of patients living with Duchenne.

INSPIRE DUCHENNE:

Status update

INSPIRE DUCHENNE is a first-in-human, multicenter, Phase 1/2 open-label study investigating the safety, tolerability, and efficacy of a single IV infusion of SGT-003 in ambulant boys with Duchenne. We are pleased to share that three participants have been dosed in the study and SGT-003 has been well tolerated to date with no serious adverse events reported. We plan to share safety, expression and biomarker data from the first three patients, along with a trial update, in the first quarter of 2025.

Clinical Study Expansion

Given the encouraging early results seen in the study thus far, we have expanded the target enrollment to 43 participants and broadened the age range for participation from the previous 4 to 8 years to 4 to 12 years. Additionally, we have modified the timepoint for evaluation of functional endpoints from 12 months to 18 months to better detect the ability of SGT-003 to impact the course of disease.

To support the study expansion, we have activated one additional site and plan to add three new clinical sites across the U.S. and Canada before the end of the year. Actively enrolling INSPIRE DUCHENNE sites include:

- Nationwide Children’s Hospital, Columbus, OH

- University of California Los Angeles Medical Center, Los Angeles, CA

- University of California Davis Medical Center, Sacramento, CA

Upcoming INSPIRE DUCHENNE sites include:

- Arkansas Children’s Hospital, Little Rock, AR

- Children’s Hospital of the King’s Daughters, Norfolk, VA

- The Hospital for Sick Children (SickKids), Toronto, Canada

We are also planning to expand the study into Europe during the first half of 2025, which we hope will allow more families the opportunity to participate in the study and contribute to the advancement of this new, potential treatment option.

Letter to the Duchenne Community:

With heartfelt gratitude, I want to begin by thanking the patients and families participating in the INSPIRE DUCHENNE clinical study – you are the true heroes of this journey. Your bravery and commitment are what drive our work as we strive to advance a more effective and safe gene therapy treatment option for patients living with Duchenne.

A Great Start!

We are pleased to provide an update on our Phase 1/2 clinical study of SGT-003, our next generation gene therapy candidate for Duchenne. The initial 90-day data from the first three patients, two 5-year-old boys and one 7-year-old boy, offer valuable insights into how SGT-003 is behaving in the body, showing an average microdystrophin expression of 110% and improvements in multiple muscle health biomarkers. In addition to microdystrophin expression, we have observed reductions in key muscle injury markers – CK, AST, ALT, Titin, LDH and eMHC, suggesting potential stabilization of muscle health. We have also seen promising signs of muscle function preservation, further reinforcing our cautious optimism for the therapy’s potential impact. Additionally, we saw encouraging early findings in potential cardiac benefit. Though early, these signals strengthen our hope that SGT-003 may not only improve skeletal muscle but also positively impact heart health—something we know is critically important in Duchenne.

SGT-003 has been well-tolerated across the six patients dosed to date. The most common side effects observed were mild and typical of AAV-based gene therapies, including nausea, vomiting, fever, and temporary decreases in platelet levels. Importantly, no serious adverse events (SAEs) were observed. These findings provide early reassurance about the safety profile of SGT-003 as we continue to gather data.

What’s Next?

We are still in the early days of the INSPIRE DUCHENNE clinical study. We anticipate enrolling approximately 20 total patients by the end of 2025. We are actively enrolling patients at six clinical trial sites across the United States and Canada and have regulatory approvals to expand to the U.K. and Italy.

In mid-2025, we plan to request a meeting with the U.S. Food and Drug Administration (FDA) to discuss the potential for an accelerated approval pathway for SGT-003, a significant step toward bringing this therapy to the broader Duchenne community as quickly and safely as possible.

Letter to the CPVT Community
Image File
Original HTML

Dear CPVT Community,

We are pleased to introduce Solid Biosciences to the CPVT community—and to share important news about our investigational gene therapy, SGT-501.

Patient-focused and founded by individuals directly impacted by Duchenne muscular dystrophy, Solid’s mission is to improve the daily lives of people living with rare neuromuscular and cardiac conditions. What began as a deeply personal effort has grown into a broader commitment to develop meaningful therapies for other serious and underserved conditions—including CPVT.

We’re pleased to share that both the U.S. Food and Drug Administration (FDA) and Health Canada have cleared our applications to begin a clinical trial for SGT-501, a gene therapy being developed for individuals living with CPVT caused by RYR2 mutations. This marks an important step forward in our efforts to bring new treatment options to this community.

About SGT-501 and the Science Behind It

SGT-501 is a gene therapy candidate designed to address the underlying cause of CPVT—abnormal calcium signaling in the heart. It uses an AAV (adeno-associated virus) vector to deliver a functional copy of the CASQ2 gene directly to heart muscle cells. CASQ2 is a protein that helps regulate calcium levels inside cells. In individuals with RYR2 mutations, restoring CASQ2 levels may help stabilize heart rhythm and reduce the risk of life-threatening arrhythmias.

The science behind SGT-501 is built on the pioneering research of Dr. Silvia Priori and her team at ICS Maugeri in Pavia, Italy. Dr. Priori has spent decades advancing our understanding of inherited arrhythmias and has led groundbreaking work showing that increasing CASQ2 expression can restore calcium balance and reduce arrhythmias in models of CPVT. Solid in-licensed this therapeutic approach in 2023 and has since worked closely with Dr. Priori’s lab to translate this research into a clinical-stage therapeutic candidate.

Guided by the CPVT Community

The insights of individuals and families in the CPVT community have provided valuable guidance – ensuring that the patient perspective is integrated into every step of our clinical development. This collaboration has influenced how we design our study and helped us focus on what truly matters to individuals and caregivers living with CPVT. We are committed to continuing this engagement as the program advances.

What’s Next

We plan to initiate this Phase 1b clinical trial in the U.S. and Canada later this year (Q4 2025) to evaluate the safety and tolerability of SGT-501.

In the coming weeks, we will partner with the SADS Foundation to host a community webinar. This event will offer an opportunity to meet our team, ask questions, and learn more about our investigational gene therapy, SGT-501, and our plans for the upcoming clinical trial. We’ll share the date and details soon, and we hope you’ll join us for this conversation.

We are grateful for the opportunity to partner with the CPVT community and are committed to continuing this journey together—openly, respectfully, and always with patients at the center.

Sincerely,

Annie Ganot

Letter to the FA Community
Original HTML

Dear Friedreich’s ataxia (FA) community,

As we begin the new year, we want to wish you and your families a happy and healthy 2026 and thank the FA community for your trust and partnership. We are writing to share an important update on FALCON, our first-in-human clinical study evaluating SGT-212, Solid’s investigational gene therapy for Friedreich’s ataxia.

Today, Solid Biosciences announced the first participant has been dosed in FALCON, a Phase 1b, open-label, dose-finding clinical trial designed to evaluate the safety and tolerability of SGT-212 in individuals aged 18-40 living with FA. This study evaluates a novel, first-in-class FA gene therapy approach that uses dual routes of administration comprised of an intradentate nucleus (IDN) infusion, targeting the cerebellar dentate nuclei, followed by an intravenous (IV) infusion. By leveraging this dual-route approach, we aim to address the neurologic, cardiac, and systemic manifestations of FA.

We want to recognize the extraordinary leadership and partnership of the Friedreich’s Ataxia Research Alliance (FARA), whose ongoing guidance and support continue to shape and strengthen our clinical program. We also wish to acknowledge the many scientists, clinicians, and partners whose collaboration made the development of SGT-212 and this dual-route gene therapy approach possible. This work reflects our shared determination to advance clinically meaningful therapies that address the urgent unmet needs of this community – to improve both survival and quality of life for people living with FA.

We are immensely grateful to the patients and families whose support, guidance and participation made this clinical study possible. Their trust, courage, time, and sacrifices help advance research for the entire FA community.

We truly appreciate the strong interest and patience of the FA community as this carefully designed, small study is now underway at its first site. While not all individuals who are interested will be able to participate in this initial trial, we hope to increase opportunities for participation over time through future study expansion and through continued community engagement that helps guide our progress.

As the FALCON study progresses, we are committed to keeping the FA community informed through regular and transparent communication, including both written updates and a dedicated community webinar planned for the coming months.

The most up-to-date information about the study can be found on ClinicalTrials.gov (NCT07180355). Additional educational resources provided by FARA, including educational information on SGT-212 and gene therapy can be found at https://www.curefa.org/clinical-studies/a-study-of-sgt-212-gene-therapy-in-friedreichs-ataxia-falcon/. These resources serve as central hubs for information about our ongoing research and broader community education.

We anticipate sharing an initial data update from the FALCON trial in the second half of 2026, subject to patient enrollment.

If you have questions or would like to connect with our patient advocacy team, please reach out to us at community@solidbio.com.

Thank you again for your continued engagement and partnership. We look forward to staying connected with the FA community.

Sincerely,

Annie Ganot

Letter to the Duchenne Community
Image File
Original HTML

Dear Duchenne Community,

As we come together for the annual Parent Project Muscular Dystrophy (PPMD) conference over the next several days, we want to begin by recognizing the strength, resilience and partnership of this community. We are grateful for the opportunity to connect with so many families, advocates and clinicians and to continue advancing this work together.

We are writing today to share an update on SGT-003, our investigational Duchenne gene therapy. Kevin Flanigan, MD, Robert F. and Edgar T. Wolfe Foundation Endowed Chair in Neuromuscular Research at Nationwide Children’s Hospital and Principal Investigator in our Phase 1/2 INSPIRE DUCHENNE clinical trial, will be providing an overview of our SGT-003 development program tomorrow at 1:30 PM ET during the Gene Therapy: Today & Tomorrow session. We encourage any families attending PPMD to tune into Dr. Flanigan’s presentation.

INSPIRE DUCHENNE Enrollment and Safety Update

We are pleased to share that 53 boys have been dosed with SGT-003 in the INSPIRE DUCHENNE clinical trial as of a June 22, 2026, enrollment cutoff. This includes patients across a broad pediatric age range from 0 to 10 years old, including a 6-month-old child. To our knowledge, this little boy is the youngest child dosed to date with a microdystrophin gene therapy.

Safety remains a top priority for Solid, and we are encouraged by the profile observed to date. SGT-003 has continued to be generally well tolerated, and we have no observed cases of drug-induced liver injury (DILI), myocarditis, thrombotic microangiopathy (TMA) or atypical hemolytic uremic syndrome (aHUS). Detailed safety as of a May 29, 2026, cutoff will be provided in Dr. Flanigan’s presentation.

All participants in the trial were treated using a steroid-only prophylactic immunomodulation regimen in tandem with SGT-003, a regimen design supported by rigorous safety monitoring with the intent to support tolerability while also minimizing treatment burden on patients and families.

As always, we remain committed to sharing safety information clearly and transparently so that families and clinicians can continue to make informed decisions.

Phase 3 Development and Global Program Advancement

As announced last month, we are now underway in IMPACT DUCHENNE, our Phase 3 randomized, placebo-controlled clinical trial evaluating SGT-003.

IMPACT DUCHENNE is currently enrolling patients at clinical sites in Australia and Canada, with clinical site expansion planned in the United States, United Kingdom and Europe in the coming months, subject to regulatory authorizations.

INSPIRE DUCHENNE and IMPACT DUCHENNE have been designed as part of an integrated clinical development program with the intention of supporting global regulatory authorizations, including potential accelerated approval in the United States. Together, these trials are intended to build a comprehensive understanding of SGT-003’s safety and biomarker profile, in addition to its clinical effect.

Our engagement with the U.S. Food & Drug Administration (FDA) remains ongoing, and we expect to provide an update as discussions progress.

Our Commitment to the Community

We are encouraged by our progress to date and remain focused on advancing SGT-003 thoughtfully, responsibly and with urgency.

We would like to express our deepest gratitude to the boys and families participating in clinical research. Your courage, trust and commitment make our work possible. We are equally grateful to the clinical teams and partners who support these efforts every day.

As we gather at PPMD this weekend and continue these important conversations, we remain fully committed to the Duchenne community and to our shared goal of advancing meaningful treatment options.

We are humbled and thankful for your ongoing partnership.

With gratitude,

Annie Ganot

First Quarter 2026 Financial Highlights

- Net sales were $9.7 million.

- OEM net sales were $5.8 million.

- Gross Margin was 17.6%.

- Net Loss Attributable to Common Shareholders was $(7.7) million.

- Adjusted EBITDA was $(4.6) million.

RENO, Nev., May 14, 2026 (GLOBE NEWSWIRE) — Dragonfly Energy Holdings Corp. (Nasdaq: DFLI) (“Dragonfly Energy” or the “Company”), an industry leader in energy storage and battery technology and maker of Battle Born Batteries®, today reported its financial and operational results for the first quarter ended March 31, 2026.

“First quarter results reflect a softer demand environment in the RV market, as expected,” commented Dr. Denis Phares, Chief Executive Officer. “While the broader RV market has not yet recovered, we have seen signs of stabilization since the end of the first quarter and remain encouraged by the continued adoption of our lithium battery solutions across key OEM partnerships, including expanded model integration and increased energy storage content within select existing platforms.”

“In the heavy-duty trucking market, one of our key long-term growth opportunities, we continue to see strong momentum. Following quarter-end, Stevens Transport placed a significant purchase order valued at over $3 million, spanning nearly 500 trucks, marking one of the most comprehensive single-fleet adoptions of our heavy-duty trucking solutions to date. This order spans our full heavy-duty trucking product portfolio and reflects the successful progression from pilot programs to scaled fleet adoption, which we believe validates the real world operational and economic benefits of our technologies.”

“During the first quarter, we also announced significant corporate actions that reduced our operating expenses, enhanced our focus on the OEM segment, and more closely aligned the Company with our shareholders. We believe we remain well-positioned to support growth as we scale and expect to realize the benefits of these initiatives starting in the second quarter.”

First Quarter 2026 Financial and Operating Results

Net sales were $9.7 million, including $5.8 million in OEM net sales and $3.7 million in DTC net sales, reflecting softer demand in the RV market, particularly in the Company’s core RV-related channels, as well as the Company’s ongoing focus on higher-value OEM and commercial opportunities.

Gross profit was $1.7 million, with a gross margin of 17.6%, compared to gross profit of $3.9 million and gross margin of 29.4%. First quarter gross margin was impacted by lower unit volume of batteries and accessory sale. Operating Expenses totaled $7.4 million, compared to $9.8 million, primarily driven by the Company’s targeted cost reduction measures.

The Company reported a Net Loss of $(6.6) million and a Net Loss Attributable to Common Shareholders of $(7.7) million, or $(0.64) per diluted share. Adjusted EBITDA excluding stock-based compensation, changes in the fair market value of our warrants, and other one-time expenses, was $(4.6) million.

Summary and Outlook

“Looking ahead, we remain focused on expanding OEM relationships, improving operational efficiency, and maintaining disciplined execution as we drive toward growth and profitability. We also continue to advance our long-term technology roadmap, supported by our recent selection for more than $500,000 in additional non-dilutive Nevada Tech Hub funding to expand our in-house battery development, testing, and validation capabilities.

For the second quarter, we anticipate revenue of $13.2 million and adjusted EBITDA loss of $1.9 million. With commercial trucking momentum building and continued healthy adoption trends within our RV OEM partnerships, including expanded model integration and increased energy storage content within select existing platforms, we anticipate a sequential revenue increase of approximately 36% in the second quarter. We are also encouraged to see our cost savings initiatives starting to take effect, which we expect to drive a $2.7 million sequential improvement in Adjusted EBITDA loss, as we continue to advance toward out target of Adjusted EBITDA profitability at an annualized net sales run rate of $70 million,” concluded Dr. Phares.

Q2 2026 Guidance

- Net Sales of approximately $13.2 million.

- Adjusted EBITDA of approximately $(1.9) million*

* The Company cannot reconcile its expected adjusted operating EBITDA under “Q2 2026 Guidance” without unreasonable effort because certain items that impact net (loss) income and other reconciling metrics are out of the Company’s control and/or cannot be reasonably predicted at this time. Actual results may vary from the guidance and the variations may be material.

Use of Non-GAAP Financial Measures

Adjusted EBITDA is a non-GAAP measure and should be considered only as supplemental to, and not as superior to, financial measures prepared in accordance with United States generally accepted accounting principles (“GAAP”). Please refer to the reconciliation of Adjusted EBITDA to its nearest GAAP measure in this release.

The Company provides non-GAAP financial measures including EBITDA and Adjusted EBITDA as a supplement to GAAP financial information to enhance the overall understanding of the Company’s financial performance and to assist investors in evaluating the Company’s results of operations, period over period. Adjusted non-GAAP measures exclude significant unusual items. Investors should consider these non-GAAP measures as a supplement to, and not a substitute for financial information prepared on a GAAP basis.

EBITDA is defined as earnings before interest and other income (expenses), income taxes, and depreciation and amortization. Adjusted EBITDA is calculated as EBITDA adjusted for stock-based compensation, change in fair market value of warrant liabilities, non-recurring costs associated with strategic financing, reverse stock split, litigation and loss on settlement. Adjusted EBITDA is a performance measure that the Company believes is useful to investors and analysts because it illustrates the underlying financial and business trends relating to the Company’s core, recurring results of operations and enhances comparability between periods.

Adjusted EBITDA has limitations as an analytical tool, and it should not be considered in isolation or as a substitute for analysis of net loss or other results as reported under GAAP. Some of these limitations are:

- Adjusted EBITDA does not reflect the Company’s cash expenditures, future requirements for capital expenditures, or contractual commitments;

- Adjusted EBITDA does not reflect changes in, or cash requirements for, the Company’s working capital needs;

- Adjusted EBITDA does not reflect the Company’s tax expense or the cash requirements to pay taxes;

- Although amortization and depreciation are non-cash charges, the assets being amortized and depreciated will often have to be replaced in the future and Adjusted EBITDA does not reflect any cash requirements for such replacements;

- Adjusted EBITDA should not be construed as an inference that the Company’s future results will be unaffected by unusual or non-recurring items for which the Company may adjust in historical periods; and

- Other companies in the industry may calculate Adjusted EBITDA differently than the Company does, limiting its usefulness as a comparative measure.

Will Prowse Sued by Dragonfly Energy Over Alleged False and Misleading Claims About Battle Born Batteries®

Trade libel complaint alleges DIY influencer used monetized content and non-standard testing to misrepresent Battle Born battery design, safety, and performance

RENO, Nev., June 2, 2026 — Dragonfly Energy Holdings Corp. (Nasdaq: DFLI) (“Dragonfly Energy” or the “Company”), an industry leader in lithium battery technology and maker of Battle Born Batteries®, today announced that it has filed a trade libel lawsuit against William Errol Prowse IV, known online as Will Prowse, and Prowse Publications LLC, in the Second Judicial District Court of the State of Nevada.

Founded and headquartered in Reno, Nevada, Dragonfly Energy has spent more than a decade designing and assembling lithium battery products relied on by customers, businesses, and families across the country.

The action seeks to protect the Company and its customers and partners, and the factual record surrounding Battle Born Batteries after Prowse’s sustained online campaign of allegedly false and misleading statements distributed through monetized online content. According to the complaint, Prowse presented his content as technical analysis while omitting critical context, misrepresenting product design and altering the batteries before testing them by removing structural components and running already-damaged units out of spec, producing a materially inaccurate portrayal of Battle Born Batteries’ real-world safety and performance.

“Dragonfly Energy respects and encourages good-faith product reviews, independent testing, and open technical discussion. This lawsuit is not about silencing criticism,” said Wade Seaburg, chief commercial officer at Dragonfly Energy. “It is about accountability when what we believe are false and misleading safety claims are presented as technical fact and amplified through monetized content. Those claims are being used to damage confidence in products backed by certified third-party testing, more than a decade of real-world field performance, and a trusted Nevada-based brand built by our employees, customers, dealers, and OEM partners. The people who rely on Battle Born Batteries deserve an accurate record.”

The complaint also alleges that Prowse previously reviewed and praised the same Battle Born battery product he later publicly disparaged, and that he received more than $200,000 from Dragonfly Energy in affiliate commissions, advertising fees, and related benefits tied to Battle Born branded products over multiple years. According to the complaint, Prowse later publicly denied that financial relationship while presenting his content as independent technical analysis, distributed the videos at issue through monetized platforms with affiliate links to competing products, and published them only after his affiliate and advertising arrangements with Dragonfly Energy had ended.

Product Safety, Testing, and Field Performance

Battle Born Batteries are designed with multiple layers of safety, assembled in the United States, and are supported by more than a decade of field performance. Relevant Battle Born product architecture has been ETL Listed by Intertek, a Nationally Recognized Testing Laboratory, to UL 2054 and IEC 62133 standards. Dragonfly Energy has deployed more than 400,000 batteries across real-world applications with an exceptionally strong safety record.

These deployments span demanding RV, marine, off-grid, industrial, and heavy-duty trucking applications, yielding extensive real-world performance data. Dragonfly Energy maintains that online videos are not a substitute for certified third-party testing, controlled product validation, or a complete understanding of lithium battery design, safety mechanisms, system integration, and actual operating environments.

Aim of Dragonfly Energy’s Case

The complaint seeks damages and injunctive relief to address the financial and reputational harm the Company alleges Prowse inflicted, and to prevent further statements about Battle Born Batteries the Company contends are false and disparaging.
