New financing structure consolidates existing project-level debt under a single facility, enhancing financial flexibility and reducing term loan costs by 75 basis points to 2.5% above SOFR

Financing includes a $625 million term loan, a $125 million letter of credit facility, and a $75 million revolving credit facility

A $130 million dividend will be distributed to CPV Group at closing

TEL AVIV, Israel, Oct. 29, 2026 /PRNewswire/ -- OPC Energy (TASE: OPCE), a leading independent power producer operating in Israel and the U.S., announced that on October 27, 2026, CPV Generation Holdings, LLC, an indirect wholly owned subsidiary of CPV Group, entered into a new $825 million financing agreement with a syndicate of lenders for its fully owned Shore and Maryland power plants.

Shore and Maryland are natural gas-fired combined-cycle power plants located in the PJM electricity market in the United States, with generation capacities of 725 MW and 745 MW, respectively. Both plants are wholly owned indirectly by CPV Group.

The new financing structure consolidates the existing project-level financing arrangements of both power plants into a single facility. The transaction is primarily intended to refinance the plants' existing project debt and fund a dividend of approximately $130 million to CPV Group at closing, while supporting their ongoing working capital and collateral requirements.

The $825 million financing package consists of:

- $625 million term loan B, bearing interest at SOFR plus 2.5%, with a seven-year maturity and no scheduled amortization. The spread above SOFR represents a 75-basis-point reduction from the previous 3.25% rate, reflecting the strong market environment and the successful execution of our strategy to generate financial and operational synergies from full ownership and control of our generating assets. Mandatory principal prepayments will be made using a cash flow sweep mechanism linked to leverage ratios ranging from 0% to 50%. The current leverage of both Shore and Maryland plants is at the lower end of this range, generating significant free cash flow for further growth at CPV Group.

- $125 million letter of credit facility, supporting the plants' collateral and operational requirements,

- $75 million revolving credit facility, available for cash borrowings and/or letters of credit.

The revolving credit facility bears interest at SOFR plus 2.25%, and the letter of credit facility bears a fixed issuance rate of 2.25%. Both have a five-year term. The agreement is subject to customary terms and conditions, as detailed in the Company's immediate report dated October 28, 2026.

Giora Almogy, Chief Executive Officer of OPC Energy, commented:

"The refinancing of Shore and Maryland marks another important step in maximizing the value of our power plants. We remain focused on our strategy of increasing ownership and achieve control of our high-quality generation assets, allowing us to capture operational and financial synergies across the portfolio. Together with Basin Ranch, CPV has now achieved full ownership and control of three plants in the U.S., further enhancing our ability to create value across these assets."

Ana Berenstein Shvartsman, Chief Financial Officer of OPC Energy, commented:

"This agreement represents an important step in optimizing CPV's financing structure by consolidating two existing project financings into a single facility. The transaction enhances financial flexibility, supports ongoing operational and collateral needs, and enables a planned dividend of approximately $130 million to CPV Group at closing. This agreement reduce borrowing costs, enhances financial efficiency and increases free cash flow available for CPV Group to support enhanced growth. This agreement reflects our disciplined approach to capital management and efficient allocation of capital across CPV's portfolio."

NC Community College System Launches Student Innovation Council to Help Shape the Student Experience
Image File
Original HTML

RALEIGH, N.C., Oct. 29, 2026 /PRNewswire/ -- Ten students from across North Carolina are helping shape how the state's 58 community colleges serve students from their first questions about college through graduation and the transition to work. The North Carolina Community College System's Student Innovation Council held its first working session Oct. 20 at Lenovo's Global headquarters in Morrisville. The Council gives students a direct voice in System decisions that affect their college experience.

The Council's objectives are to gather student perspectives on challenges throughout the college journey, advise System leaders on how technology and services can better meet students' needs, and bring forward recommendations to guide improvements across the 58 colleges.

"I don't think we listen to students enough," said State Board Chair Tom Looney. "Today, you, the students, are the most important people in the room. You should have a seamless college experience no matter what college you go to. We are fighting for change in education so that we can market to and serve students with world-class tools."

At the first session, Council members mapped the student journey and identified opportunities to improve communication, coursework management, payment structures, and access to campus resources. They considered the full experience from exploring college options and applying to enrolling, paying for classes, completing a program, transferring, or entering the workforce.

Student recommendations will help inform System efforts to strengthen student engagement and improve tools such as the systemwide learning management system and customer relationship management platform. The goal is to connect students' experiences directly to decisions about how these services are designed, prioritized, and implemented.

Lenovo leaders shared how listening to users can shape better products and experiences. Dilip Bhatia, Lenovo's vice president and chief experience officer, encouraged the group to look closely at where people encounter obstacles.

"People don't buy products. They buy experiences," Bhatia said. "You want students to choose community colleges, so you must focus on their experiences and design them to be seamless."

Acting System President and CEO Dr. Monty Sullivan said the System must ensure students have equal access to the tools and support they need, regardless of where they live.

"Our goal is to level the playing field so that no matter your zip code you have the same access as everyone else," Sullivan said.

For Council member Gabriel Robertson of Johnston Community College, the work is an investment in students who will come after him.

"I hope that, even if I don't experience it myself, future students will reap the benefits of what we're doing today," he said.

The Council's next step is to develop actionable recommendations and identify concrete steps the System can take. For Looney, the Council creates a direct connection between student perspectives and decisions shaping the future of North Carolina's community colleges.

Council Members

The inaugural Council includes Stephanie Pano, president of the North Carolina Comprehensive Community College Student Government Association, and Gabriel Robertson of Johnston Community College; Joshua Hopper of Forsyth Technical Community College; Etoo Owaraga of Wake Technical Community College; Citlaly Garcia Guijon of Alamance Community College; Destini Dawson of Craven Community College; Colin Williams and Keydra Oglesby of Rowan-Cabarrus Community College; Kevin Hernandez-Perez of Durham Technical Community College; and Daniel Vernon of Surry Community College.

About the North Carolina Community College System: The North Carolina Community College System (System) is the engine for workforce development in North Carolina and the only public entity dedicated to providing affordable college access to anyone in the state. The System is governed by the NC State Board of Community Colleges with administration from the NC Community College System Office, and support from the NC Community Colleges Foundation, and is powered by the 58 community colleges and their respective foundations. Together, the System serves 600,000 students and awards more than 60,000 degrees, diplomas, and certificates annually. For more information, visit https://www.nccommunitycolleges.edu/

GARDANT Global Expands Government Procurement Capabilities Through Strategic Partnership With International Offset Corporation

Partnership connects government contracting expertise with a global sourcing network to pursue procurement opportunities across U.S. and international markets

ORLANDO, Fla., Oct. 29, 2026 /PRNewswire/ -- GARDANT Global, a government procurement and contracting organization, has designated International Offset Corporation (IOC) as its Preferred Procurement Partner, expanding its access to international manufacturers, distributors, suppliers and professional service providers to support government and institutional procurement opportunities in the United States and abroad.

The partnership combines GARDANT's government contracting and procurement capabilities with IOC's more than 30 years of experience in international sourcing, strategic procurement, countertrade, offsets and global supply chain development.

Through IOC's international network, GARDANT aims to identify qualified suppliers and alternative sources of supply to meet specific procurement requirements, support competitive pricing and strengthen supply-chain responsiveness. The companies intend to pursue opportunities involving U.S. federal, state, local and education (SLED) agencies, as well as NATO member nations, allied governments and government and institutional organizations throughout Pacific Rim markets.

"GARDANT is focused on developing a comprehensive procurement platform capable of responding to the increasingly complex requirements of government agencies in the United States and internationally," said Paul Karch, president of GARDANT Global. He adds, "our relationship with IOC expands our sourcing capabilities and gives GARDANT access to an established international network of suppliers and service providers. This will allow us to respond more efficiently to a broader range of government procurement opportunities."

"GARDANT understands the complexities of government procurement and the importance of connecting buyers with qualified suppliers who can meet demanding requirements," said Matthew Talbert, IOC's Chief Executive Officer. "We see this partnership as an opportunity to bring our international sourcing experience and global relationships together with GARDANT's capabilities to help address procurement needs across global markets," adds Talbert.

Expanding Access to Government Markets

The partnership is designed to help GARDANT pursue procurement requirements across a broad range of categories, including specialized equipment, technology, commodities, professional services and other government and institutional needs.

IOC brings experience in identifying alternative sources of supply, developing international procurement relationships and structuring sourcing solutions for complex requirements. Its network is expected to broaden the range of manufacturers and service providers GARDANT can engage as it develops opportunities in domestic and international government markets.

For qualified manufacturers, distributors and service providers, the relationship represents a potential channel for engaging with procurement opportunities involving government and institutional buyers. For government buyers, the companies intend to develop a scalable procurement platform that can support sourcing requirements across multiple markets.

"This partnership represents an important expansion of GARDANT's procurement capabilities," Karch said. "We believe the combination of GARDANT's government contracting expertise and IOC's international sourcing network creates a significant opportunity to deliver better procurement solutions to government and institutional customers."

The partnership reflects both organizations' focus on connecting procurement requirements with qualified suppliers, competitive sourcing solutions and responsive supply-chain support. Together, GARDANT and IOC plan to pursue opportunities that leverage their complementary capabilities and expand access to domestic and international government markets.

FSG Releases New Report on Community-Led Solutions to Improve Respiratory Health

New issue brief highlights place-based approaches to addressing the growing respiratory health impacts of climate change, air pollution, and barriers to care

BOSTON, Oct. 29, 2026 /PRNewswire/ -- FSG today released a new issue brief, "Improving Community Respiratory Health: Place-Based Lessons from the Field," offering practical lessons and recommendations for funders, policymakers, healthcare providers, and community organizations working to improve respiratory health outcomes in communities across the United States.

The report, released in recognition of Lung Health Day, explores how communities are responding to increasing respiratory health challenges driven by climate-related exposures, poor air quality, healthcare workforce shortages, and inequities in access to care. Drawing on research and interviews with leaders from community-based organizations, philanthropy, healthcare, and advocacy organizations, the report identifies six key elements of effective place-based approaches to respiratory health.

According to the report, nearly 150 million Americans now live in areas with unhealthy air quality, while communities with the greatest environmental burdens continue to experience disproportionate rates of asthma and chronic lung disease. At the same time, many of the organizations working to address these challenges face significant resource constraints.

"Across the country, communities are already demonstrating what works to improve respiratory health," said John Harper, FSG CEO. "The challenge isn't a lack of promising solutions. It's ensuring that local leaders have the support, partnerships, and resources necessary to sustain and scale these efforts. This report highlights practical approaches that can improve health outcomes while strengthening community resilience."

The report identifies six common characteristics of successful place-based models, including community co-design, multi-sector partnerships, community health worker programs, home-based interventions, embedded measurement and evaluation, and supportive policy environments.

The issue brief also highlights examples from Detroit, Michigan, and Western Massachusetts, where local organizations, healthcare providers, and community partners have developed collaborative approaches to address respiratory health challenges and reduce barriers to care.

FSG conducted the research with support from Sanofi.

"Respiratory health is influenced by factors that extend far beyond the healthcare system alone," said Sandrine Bouttier-Stref, Global Head of Corporate Social Responsibility & Foundation, Sanofi. "Improving respiratory health requires collaboration across healthcare, public health, community organizations, and policymakers. We are honored to support research that highlights promising approaches and elevates the voices of community leaders and organizations working every day to improve health outcomes in their communities. We hope this brief will help inform action, catalyze funders, and increase investment to scale effective place-based solutions."

The report concludes with recommendations for funders, policymakers, and practitioners focused on three priorities: driving urgency around community respiratory health, closing gaps in access to care and support services, and strengthening the long-term capacity of community health systems.

Details of the case: According to the lawsuit, throughout the Class Period, defendants made materially false and misleading statements and/or failed to disclose that: (1) Everest remained materially exposed to and concentrated in casualty risks subject to escalating claim costs, including business Defendants claimed Everest had reduced or exited; (2) Everest had inadequately priced portions of that business; (3) Everest's reserves were insufficient, causing it to understate its liabilities and expenses and materially overstate its earnings; and (4) addressing these problems would require substantial reserve charges, protection against further adverse development, and reductions in Everest's casualty business, thereby sacrificing recurring premium revenue. When the true details entered the market, the lawsuit claims that investors suffered damages.

Americans get an extra hour, but sleep just 11 minutes longer, as the Withings Sleep Care Service brings sleep specialists to all 50 states

New data from Withings reveals that Americans gain just 11 minutes of sleep when the clocks fall back, and even that small bonus doesn't last: a week later, they're sleeping less than usual and their sleep quality has dipped. As the days grow darker, maintaining regular sleep habits and knowing when to seek expert help becomes increasingly important. For those whose nights don't bounce back, the Sleep Care Service in the Withings app connects users with licensed sleep specialists in all 50 states.

BOSTON, Oct. 29, 2026 /PRNewswire/ -- On the night of Sunday, November 1, most of the United States switches to standard time and the clocks fall back one hour. But that extra hour translates into far less than an additional hour of sleep.

Withings analyzed nearly 240,000 nights in the United States between 2023 and 2025. On the night the clocks fall back, Americans sleep an average of just 11 minutes longer than on a typical Saturday, and that night is more broken than usual, with slightly more frequent night wake-ups. The small bonus is quickly lost: through the following week, Americans get up about 25 minutes earlier each morning while sleeping slightly less, and by the next Saturday they sleep around four minutes less than usual, with a lower sleep score.

The effect is similarly modest in Europe, where people gain between 10 and 15 minutes of sleep when their clocks go back a week earlier.

Easy access to a sleep specialist in all 50 states

When post-time-change fatigue doesn't fade, it may not be the clock - it may signal an underlying sleep issue. Yet getting answers to poor sleep has traditionally meant months of referrals, long sleep lab waitlists and multiple follow-up appointments before treatment even begins.

Withings' new Sleep Care Service1, available in the Withings app to users in all 50 US states, replaces that process with a single virtual care pathway. Through clinical partners Dreem Health and Dune Health, users get access to licensed sleep specialists, at-home testing, and personalized treatment in weeks rather than months. The service combines at-home sleep tracking with telemedicine and is covered by most insurance plans.

The Sleep Care Service is designed for anyone experiencing persistent fatigue, recurring sleep disturbances, or concerns about sleep apnea. Getting started takes minutes: from the Share tab in the Withings app, users complete a three-minute assessment and book an appointment.

From there:

- A virtual sleep specialist. A licensed sleep provider reviews their health history and sleep symptoms and recommends the best next steps for diagnosis and treatment.

- At-home sleep testing. When prescribed, a home sleep test offers clinical data to better understand what's going on.

- A personalized treatment plan. Where clinically appropriate, for example if sleep apnea or another sleep disorder is diagnosed, with options ranging from CPAP and oral therapy devices to insomnia treatment.

Autumn darkness puts new demands on our sleep habits

The clock change comes just as the United States enters the darkest part of the year. On Sunday, the sun will set in New York at around 4:50 p.m., an hour earlier by the clock than the day before, and by the winter solstice it will set around 4:30 p.m. For Dr. Pierre Escourrou, the transition is a reminder of how light, darkness and our daily routines are connected to sleep.

"We can't expect the body to automatically use the extra hour for sleep. Our internal clock is set by light and by habit, and it doesn't move overnight just because the clocks do. As the evenings get darker, keeping regular routines and getting daylight, especially in the morning, matters even more."

Dr. Pierre Escourrou, Cardiologist & Sleep Specialist

The extra sleep is short-lived

Withings' data also shows that the change doesn't end with the night the clocks fall back. In the week after the change, Americans kept waking up around 16 minutes earlier and going to bed around 15 minutes earlier according to the clock. On the following Saturday, they slept around four minutes less than usual, with a slightly lower sleep score, though sleep quality was back to its pre-change level over the following two weeks.

For anyone looking to improve their sleep, understanding habits over time can therefore be more useful than focusing on a single night.

"Sleep naturally varies from night to night, so one bad night doesn't mean very much. What matters is the pattern over time. Tracking your sleep helps you see how bedtimes, daylight and daily routines relate to how you sleep, and if poor sleep persists for weeks, that's a reason to talk to a doctor."

Dr. Pierre Escourrou, Cardiologist & Sleep Specialist

How to give your sleep better conditions during the darker months

- Keep regular hours. Try to go to bed and, above all, wake up at roughly the same time every day.

- Seek out daylight. Make the most of the daylight hours and try to get outside, preferably in the morning.

- Look at the trend, not a single night. Tracking your sleep over time makes it easier to identify recurring patterns and see how changes in everyday life coincide with changes in your sleep.

The Withings Sleep Mat, placed under the mattress, and ScanWatch 2, worn on the wrist, record sleep night after night. With Withings+, those nights become trends and personalized insights, and if they point to something more, the Sleep Care Service puts a specialist a few taps away.

How the United States compares when the clocks go back

*Night of the clock change compared with each person's usual Saturday night, after subtracting the change seen in places whose clocks never change. European clocks change one week before US clocks.

How America's largest cities sleep when the clocks go back

*Same basis as the table above.

About the study

- Data: anonymized sleep data from Withings users aged 18 and over in the United States, recorded by Withings sleep trackers and connected apps.

- Period: the autumn clock changes of November 5, 2023, November 3, 2024 and November 2, 2025.

- Sample: 237,480 nights of the clock change. Each person counts once for every year they were measured.

- "Typical Saturday": for each person, the average of their four Saturday nights before the change (at least two of them measured).

- Weeks after: days 1â7 and 8â14 after the change, compared with the 14 days before.

- Comparison group: the same dates in places whose clocks never change (Arizona, Hawaii and Iceland), to separate the clock change from season and calendar effects. Their change on the same night, about 2.8 extra minutes of sleep, is subtracted from the figures above.

- Exclusions: people whose time zone changed during the six weeks studied, for example through travel.

- Limits: observational data showing associations, not causes; results describe Withings users, not the whole population.

Be Strong Announces Inaugural National Student Advisory Board, Bringing Together 16 Young Leaders Across 11 States

Student leaders and alumni will help shape the future of youth mental health, resilience, inclusion, and peer-to-peer support while advancing Be Strong's national Never Alone campaign.

DEERFIELD BEACH, Fla., Oct. 29, 2026 /PRNewswire/ -- Be Strong, a national charity dedicated to saving and improving the lives of young people, proudly announces its inaugural National Student Advisory Board, bringing together 16 young leaders from 11 states to help shape the organization's next chapter of impact and advance its national Never Alone campaign.

Representing middle school students, high school students, and young adults, the board includes current Be Strong Student Representatives and alumni whose experiences reflect the challenges and opportunities facing young people today.

Through the Never Alone campaign, Be Strong is working to ensure individuals and families know help is here and can access immediate support, trusted resources, and pathways to ongoing care. The new board will help carry that commitment forward by bringing authentic student perspectives into national awareness efforts, programs, and community engagement.

"For 11 years, we've witnessed what happens when young people are given the tools, encouragement, and opportunity to lead," said Ashleigh E. Cromer, CEO and Chair of Be Strong. "These 16 leaders are not waiting for someone else to create change. They're already doing it. As we continue advancing Never Alone, their voices will help us reach more young people, strengthen connections, and ensure that asking for help leads to meaningful support."

Meet the Inaugural National Student Advisory Board

These 16 young leaders will help guide and amplify Be Strong's nationwide student leadership network, representing the perspectives of thousands of young people and advancing a movement that reaches communities across all 50 states.

Together, they will help strengthen the connection between local student leadership and national action, ensuring the voices and experiences of young people continue to shape Be Strong's programs, resources, and Never Alone campaign.

- Moksha Sunkara | Virginia

Behind every member of the inaugural board is a story of courage, compassion, and a commitment to helping others. From experiences with bullying and isolation to advocating for inclusion and mental health, these young leaders understand firsthand the challenges facing their generation.

Their voices reflect the heart of Never Alone: that every person deserves to be seen, heard, and connected to help when they need it most.

"I always used to say I had a megaphone and I want to use it to amplify the unheard," shared Angel Helton of Kentucky, who founded a We Dine Together chapter during high school.

For 13-year-old Joseph Petraro-Hyppolite of New York, Be Strong has made a lasting personal impact, inspiring him to help other young people find the same support.

"Being selected for the inaugural Student Advisory Board means I get to help make sure young people know they are never alone, that their voice matters."

For Anna Pollpeter of Iowa, the opportunity is about expanding access to resources and empowering more students to lead.

"My goal is to help expand national awareness, inspire more student leaders to get involved, and build partnerships with other student organizations to create a united effort to prevent bullying and foster a culture of kindness, inclusion, and acceptance."

Ashvik Behera of Colorado sees the board as an opportunity for young people to collaborate and create lasting impact.

"Being selected in the Advisory Board not only marks an important milestone but also gives me the opportunity to make a greater impact, learn and grow alongside my peers and bring new ideas to the table."

For Moksha Sunkara of Virginia, inclusion and compassion are central to the work ahead.

"I would love to become a leader who is able to make an impact on how others see themselves."

And Salina Ramirez of Texas hopes to inspire others to take action in their own communities.

"I hope to inspire others to get involved, lead with kindness, and create positive change together."

Advancing Never Alone, Together

Launched in 2025, Be Strong's Never Alone campaign is focused on closing the gap between people who need help and the support available to them. Through awareness, peer leadership, immediate assistance, and pathways to ongoing care, the initiative seeks to make help easier to find and access before struggles become crises.

The National Student Advisory Board will play a meaningful role in advancing these efforts by identifying emerging needs, strengthening Be Strong's free programs and resources, contributing to national awareness initiatives, and helping more young people recognize when and how to seek support for themselves or someone they care about.

Members bring experience in student government, healthcare advocacy, community service, disability inclusion, athletics, the arts, and grassroots initiatives. Together, they will help ensure Be Strong's programs, campaigns, and resources continue to reflect the real experiences and evolving needs of young people.

The board will also create opportunities for mentorship, collaboration, and experiences that support members' educational, personal, and professional development.

"What makes this group extraordinary isn't simply what they've accomplished," Cromer added. "It's what they've chosen to do with their experiences. They've turned challenges into compassion and compassion into action. Never Alone is more than a message. It's a commitment to showing up for one another and making sure help is within reach. These young leaders will help us carry that commitment into communities across the country."
