Curaleaf Keeps Aurora Bid Open, Attacks Organigram Alternative Deal

Stamford -- Curaleaf Holdings says its enhanced premium offer of October 6, 2026 for all outstanding Aurora Cannabis common shares remains open, after Aurora announced an alternative transaction with Organigram Global.

Curaleaf argues its offer delivers better value, a combined business with a stronger capital markets profile, greater certainty and speed to close, and larger anticipated synergies. The offer is made under an Offer to Purchase and Circular dated August 18, 2026, amended on October 6, 2026. Curaleaf has filed a Form F-80 registration statement and a Schedule 14D-1F tender offer statement with the U.S. SEC.

Curaleaf says key terms of the Organigram deal remain undisclosed

Curaleaf says it will study the Organigram transaction but is still waiting for material details. These include any break fee, the future management and board composition, and any investor rights granted to BAT. It also notes that neither Aurora nor Organigram stated whether the deal is dilutive or accretive to shareholders.

Curaleaf accuses Aurora's board of blocking an enhanced bid

Aurora's board granted due diligence access to Organigram, which Curaleaf describes as significantly smaller, underperforming and less liquid. Curaleaf cites a looming share overhang, a history of and forthcoming shareholder dilution, and weak cash generation. It also criticizes the track record of Organigram's backer on cannabis investments.

Curaleaf says Aurora's refusal to grant it access and engage directly rules out any chance of an enhanced Curaleaf bid. It calls that refusal a gross dereliction of the board's fiduciary duties.

The offer remains subject to conditions, including regulatory approvals and the outcome of the competing proposal. Curaleaf's subordinate voting shares trade on the TSX under CURA and on the OTCQX under CURLF; Aurora trades on the TSX and NASDAQ under ACB.
