Second NRF2 Degrader Enters Clinical Development: Nutshell Therapeutics' NTS231 Received FDA IND Clearance

SHANGHAI, Sept. 25, 2026 /PRNewswire/ -- Nutshell Therapeutics (Shanghai) Co., Ltd. ("Nutshell Therapeutics"), an innovative biotech company focused on AI-driven allosteric drug discovery, announced FDA IND clearance for NTS231, a covalent allosteric molecular glue degrader of NRF2, to launch clinical development in the United States.

NTS231 is the first NRF2 degrader molecule from China and second globally to enter clinical development. This program represents a significant advancement in efforts to therapeutically target the NRF2 pathway, a key driver of tumor survival and treatment resistance in multiple cancer types.

AI-Driven Discovery of a Novel NRF2-Targeting Molecular Glue

The discovery of NTS231 was powered by Nutshell Therapeutics' proprietary AI-driven allosteric drug discovery platform, ALLOSTAR™, which integrates computer-aided drug design (CADD), medicinal chemistry and cutting-edge experimental techniques.

By leveraging the ALLOSTAR™ platform, Nutshell Therapeutics successfully identified NTS231 as a highly potent and selective novel small molecule that covalently binds to KEAP1 and induces the degradation of NRF2. Mechanistically, NTS231 irreversibly links to the Cys151 residue of KEAP1 and stabilizes the KEAP1 structural conformation conducive to CUL3 interaction as well as the assembly of functional KEAP1–CUL3 E3-ligase complex, thereby driving NRF2 degradation, suppressing NRF2 signaling pathway, and inhibiting cancer cell viability. The team accomplished IND approval within 24 months from target nomination, highlighting AI-enabled acceleration of drug discovery.

Robust Preclinical Antitumor Activity and Desirable Safety Profile

In preclinical studies, NTS231 exhibits non-inferior in vitro activities to VVD-130037[1], a clinical-stage compound under the same targeting mechanism, while possessing superior pharmacokinetic properties. Across multiple cell-derived xenograft (CDX) and patient-derived xenograft (PDX) models harboring diverse NRF2/KEAP1/CUL3 mutations or NRF2 hyperactivation, NTS231 has demonstrated dose-dependent antitumor efficacy as a single agent in a range of solid tumors, including lung squamous cell carcinoma (LUSC), lung adenocarcinoma (LUAD), esophageal squamous cell carcinoma (ESCC), and head and neck squamous cell carcinoma (HNSCC).

NTS231 has also demonstrated the potential for combination therapies. Synergistic antitumor effects were observed when combining NTS231 with chemotherapy, targeted therapies, and antibody-drug conjugates (ADCs). Notably, in chemotherapy-resistant LUSC PDX models harboring KEAP1 and other mutations, the combination of NTS231 and paclitaxel significantly enhanced tumor growth inhibition relative to single agents; in a proof-of-concept CDX model of NFE2L2-amplified LUAD, combined treatment with NTS231 and a TROP2 ADC dramatically improved efficacy and led to tumor regression, accompanied by decreased expression of NRF2-regulated efflux transporters, which might sensitize tumors to ADC payloads and mitigate resistance.

In the 28-day Good Laboratory Practice (GLP) toxicology studies conducted in rats and dogs, NTS231 demonstrated a favorable safety profile and a wide safety margin. These findings provide important preclinical support for the continued clinical development of NTS231.

Targeting a Significant Unmet Need in NRF2-Driven Cancers

Constitutive activation of NRF2 has been observed in many human cancers as a result of genetic alterations in the NRF2-encoding gene NFE2L2 and its regulatory genes KEAP1 and CUL3. Approximately 12% of cancer patients profiled in The Cancer Genome Atlas (TCGA) database carry mutations in at least one of the three genes NFE2L2, KEAP1 or CUL3, particularly prevalent in >30% LUSC and >20% LUAD. Preliminary estimates indicate over 1.5 million annual new cancer cases worldwide harbor NRF2/KEAP1/CUL3 alterations or other aberrant NRF2 pathway activation.[2]

This patient population is largely ineligible for most targeted therapies, given that NRF2/KEAP1/CUL3 alterations are mutually exclusive with EGFR, ALK, ROS1, and BRAF genetic lesions. Immunotherapy likewise yields limited efficacy, since such mutations are strongly associated with an immunologically cold tumor microenvironment (TME) that leads to therapeutic resistance. Constant activation of the NRF2 pathway resulting from mutations in NRF2, KEAP1 or CUL3 can also confer resistance to standard chemotherapy. Collectively, these factors underscore the substantial unmet medical need for effective therapies targeting NRF2-driven tumor biology.

By directly targeting the KEAP1–NRF2 regulatory axis, NTS231 has the potential to provide a new therapeutic approach for patients with NRF2, KEAP1, or CUL3 mutations, as well as tumors characterized by NRF2 pathway hyperactivation.

Aseptic packaging is a specialized manufacturing method where a sterile product is filled and sealed inside a pre-sterilized packaging material under an entirely sterile environment. This process prevents microbial recontamination, allowing highly perishable foods, beverages, and pharmaceuticals to be transported and stored at room temperature for extended periods without requiring artificial preservatives or continuous refrigeration.

By material, the paper & paperboard segment is expected to account for the fastest CAGR during the forecasted period.

Over the forecast period, the Paper & Paperboard category is predicted to exhibit the fastest compound annual growth rate (CAGR) in the aseptic packaging industry. The strong growth of this sector can be attributed to the global movement towards more sustainable, circular-economy packaging methods that minimize the use of disposable plastic. Paperboard is the basis for the modern aseptic carton design as it provides the necessary strength while keeping the renewable nature of the product. The growing requirements of environmental legislation in various parts of the world encourage manufacturers to invest in R&D for the development of eco-friendly alternatives to currently used plastic products, such as novel bio-derived paper forms. In addition, the modern consumer is becoming more eco-conscious and increasingly prefers brands that promote sustainability.

By type, the vials, ampoules, and prefillable syringes segment is expected to account for the fastest CAGR during the forecasted period.

The vials, ampoules, and prefillable syringes segment within aseptic packaging is expected to register the highest growth rate in the coming years. This fast-paced growth can be attributed to the increasing development of biological drugs and their unprecedented demand in the market. As compared to traditional small-molecule drugs, these liquid formulations are more susceptible to degradation and chemical interactions; therefore, perfect sterility is paramount, which can only be achieved using specialized polymer syringes and high-grade glass vials. Moreover, the healthcare sector is heavily leaning towards the use of prefillable syringes to avoid medication errors, as well as eliminate drug wastage. With the expansion of healthcare networks and regulating authorities implementing stricter regulations, pharmaceutical companies have begun using mechanized aseptic filling machines and automation in this domain.

By application, the pharmaceuticals segment is expected to account for the fastest CAGR during the forecasted period.

The pharmaceuticals segment is expected to witness the highest compound annual growth rate (CAGR) in the market for aseptic packaging in the coming years. This tremendous market growth can be attributed to the global upsurge of biopharmaceutical production, including advanced vaccines, complex cellular therapies, monoclonal antibodies, and biosimilars. These advanced liquid medications are very sensitive to environmental conditions and thermal degradation, making standard terminal heat sterilization impossible. Aseptic operation serves as the only way to fill and seal these products while preserving their active chemical structures and ensuring absolute sterility. Also, the new stringent regulations on sterile drug manufacturing force pharmaceutical firms to streamline their supply chains. The increasing clinical adoption of ready-to-use drug delivery systems, such as prefilled syringes and sterile single-dose containers, further strengthens pharmaceuticals as the most rapidly expanding application in the global market.

Asia Pacific is expected to account for the fastest CAGR during the forecast period.

The growth of the aseptic packaging industry in Asia Pacific is expected to be very fast in terms of CAGR in the forecast period. This growth can be credited to fast growth of the economy, increase in disposable income, and high rate of growth of population in many developing countries. With millions of consumers moving to cities and adopting a fast lifestyle, use of packaged dairy goods, RTD beverages, and processed food is growing like never before. At the same time, the boom in the healthcare system and local biopharmaceutical manufacture is increasing the demand for sterile pharmaceutical packaging. Besides, international companies are investing in local production to take advantage of much cheaper production processes and the increasing demand.

Investment and Funding

Investment in the aseptic packaging market is increasingly focused on expanding sterile manufacturing capacity, improving cleanroom automation, and strengthening high-barrier material processing capabilities. Manufacturer disclosures indicate that capital deployment has been directed toward factory expansion, specialized blow-molding and carton-forming equipment, cleanroom robotic systems, computer-controlled filling lines, and integrated material-lamination operations. In recent financial disclosures, Amcor plc announced an expansion of its high-barrier flexible and rigid packaging operations, together with upgrades to its cleanroom automation infrastructure and the integration of advanced robotic handling systems to improve filling line throughput and maintain pristine sterile integrity. During the same fiscal period, Mondi plc reported that its targeted investment in precision co-extrusion and high-speed laminating lines directly increased internal material production capacity, supporting the commercial launch of next-generation, fiber-based liquid packaging systems serving cartons, pouches, and bag-in-box barrier formats Mondi Group Website. Furthermore, Graphic Packaging Holding Company has described major capital investments in additional production facilities, specialist carton-forming machinery, high-definition printing infrastructure, and customized digital layout software to support rising retail sales and increasingly complex multi-layer food and beverage structural barrier requirements Graphic Packaging Website. These global developments strongly suggest that capital investment is moving toward highly scalable, technology-enabled aseptic manufacturing models rather than conventional, non-sterile packaging fabrication capacity alone. The main structural areas attracting funding include automated cleanroom roll-forming, prefabricated barrier cartons, smart packaging integration, advanced materials R&D, and inline sterile processing mechanisms. Packaging manufacturers equipped with modern cleanroom production facilities, specialized sterilization hardware, automated digital workflows, and the ability to supply both rigid and flexible high-barrier containers seamlessly are demonstrably better positioned to attract strategic corporate investment and expand their active customer base. This dynamic financing environment is directly supported by the growing market adoption of preservative-free "clean-label" formulations, biological pharmaceutical products, single-serve convenience foods, and ambient distribution processes that collectively emphasize longer shelf life, lower transport costs, and total elimination of cold-chain dependencies.

Global Leaders Call for Scalable Women's Health Models to Close $1 Trillion Health Gap at Burjeel Holdings' Roundtable in New York

Roundtable held during UN General Assembly week examined how investment, technology, and new models of care can close the global women's health gap

NEW YORK, Sept. 25, 2026 /PRNewswire/ -- Global leaders from healthcare, investment, philanthropy, and government called for greater investment in scalable, integrated models of women's healthcare at "The $1 Trillion Case for Women's Health," a high-level roundtable convened by Burjeel Holdings, a leading super-specialty healthcare services provider in the GCC.

Held on the sidelines of the 81st United Nations General Assembly (UNGA) in New York, the discussion focused on the economic and clinical impact of the global women's health gap, which the World Economic Forum estimates could exceed $1 trillion annually by 2040 if left unaddressed.

The roundtable, opened with a virtual address from HRH Ambassador Reema Bandar Al-Saud, Ambassador of the Kingdom of Saudi Arabia to the United States, speaking about the need to take a more comprehensive approach to women's health.

"It begins with knowledge and prevention," said Princess Reema in her video address. "It begins with creating an environment where women feel comfortable speaking about their health and asking for the care they need. But today, that conversation has to go much further. We have to invest in women everywhere. Women's physical and mental health and overall well-being are interconnected, and our approach to care has to be, too. No nation can ask half of its people to contribute to its future and then leave their healthcare to chance."

Dr. Shamsheer Vayalil, Chairman, and CEO of Burjeel Holdings, continued the discussion with 23 leaders spanning health systems, investment, philanthropy, and multilateral organizations. He pointed out how Burjeel Holdings' clinical experience serves as an example of targeted investment in women's healthcare as a scalable action, already improving the future of women, evidenced by the decline in cervical cancer cases at Burjeel Cancer Institute in the UAE over the past two years.

The Group also previewed collaborative initiatives under development in Saudi Arabia, including an integrated model for women's health delivery that could be adapted for other markets, including across Africa and the wider Global South.

"Women's health has been under-researched, underfunded, and too often treated as episodic rather than lifelong," said Dr. Shamsheer Vayalil during his opening remarks. "Prevention is key, alongside diagnostics, cardiovascular health, cancer, reproductive health, menopause and midlife care, and so much more. Any model implemented needs to be evidence-based, culturally relevant, with trusted, measurable success. Only then will progress be seen."

Ms. Khadija Rejto, Chair of Global Health at the Atria Research and Global health Institute emphasized this point, sharing, "Investors have long treated women's health as a niche despite it being one of the fastest growing sectors in the world."

As conversation continued, participants discussed three critical requirements for closing the women's health gap: a sustained investment in women's health systems, broader adoption of technology across care delivery, and new models of care with a demonstrated record of results.

Single infusion of CARVYKTI® (ciltacabtagene autoleucel) delivered five-year treatment-free remissions in 50% of patients in early line relapsed/refractory multiple myeloma
Image File
Original HTML

- New results suggest earlier treatment may increase the likelihood of long-term remission

- Study adds to Johnson & Johnson's overwhelming body of evidence supporting its innovative multiple myeloma therapies in second line, where earlier intervention may increase long-term remission and disease control

RARITAN, N.J., Sept. 25, 2026 /PRNewswire/ -- Johnson & Johnson (NYSE:JNJ), a worldwide leader in multiple myeloma therapies, announced today new long-term follow-up data from the initial subgroup of cohort A in the Phase 2 CARTITUDE-2 study (N=20) showing that 50% of patients (10/20) in early line relapsed or refractory multiple myeloma (RRMM) who were treated with a single infusion of CARVYKTI® (ciltacabtagene autoleucel; cilta-cel) remained alive and progression-free for at least five years without maintenance therapy.1 These results build on the durable, treatment-free remissions observed in the CARTITUDE-1 study, which evaluated patients in later lines of therapy, and reinforce that earlier treatment with CARVYKTI® may increase long-term remission and disease control. Together, these findings add to the emerging evidence suggesting that CARVYKTI® may have curative potential in some patients.

Findings were presented at the International Myeloma Society (IMS) Annual Meeting (Abstract #PA-288).

Expert and company perspectives on earlier treatment-free remissions with CARVYKTI®

"Five years ago, treatment-free remissions of this duration were difficult to imagine for many patients with relapsed or refractory multiple myeloma," said Niels van de Donk, M.D., Ph.D., Professor of Hematology, University Medical Center, Amsterdam, the Netherlands.* "These new CARVYKTI findings provide additional evidence that when highly effective, established therapies are used earlier in the disease course, more patients may have the opportunity to achieve deep, durable remissions and long-term disease control without maintenance."

"These results add to the growing body of evidence suggesting that CARVYKTI may have curative potential for some patients, and reinforce the value of bringing highly effective therapies to patients earlier in their treatment journey," said Yusri Elsayed, M.D., M.H.Sc., Ph.D., Global Therapeutic Area Head, Oncology, Johnson & Johnson. "As we continue to advance a portfolio of complementary and combinable therapies, these findings reinforce our commitment to pursuing curative approaches and redefining what patients can expect from multiple myeloma treatment."

Phase 2 CARTITUDE-2 study build on previous findings

CARTITUDE-2 cohort A (N=20) enrolled patients with RRMM who had received one to three prior lines of therapy, were exposed to a proteasome inhibitor, and were refractory to lenalidomide.1 The primary endpoint was minimal residual disease (MRD) negativity.1 Patients from initial cohort A were followed to assess long-term outcomes following a single CARVYKTI® infusion without maintenance therapy.1

At a median follow-up of 60.7 months:

- Half of the patients (n=10, 50%) remained alive and progression-free at five years

- The five-year overall survival rate was 69.2%

- Median progression-free survival was 60.5 months

- Patients received a single CARVYKTI® infusion without maintenance therapy

At five years, MRD was assessed by bone marrow in three patients and was not required per protocol.1 All three patients were MRD-negative at the deepest level tested (10-6), indicating no detectable disease using highly sensitive testing methods.1

Long-term remissions were observed even among patients with high-risk disease features.1 Of the 10 patients who remained alive and progression-free at five years, five had at least one high-risk cytogenetic abnormality, including four patients with two or more high-risk features.1

The safety profile observed with longer follow-up was consistent with the known safety profile of CARVYKTI®, with no new CAR T-cell-related neurotoxicity reported.1 Since the previous analysis, one patient developed a new hematologic malignancy (acute myeloid leukemia) and two deaths occurred due to progressive disease and new cancer.1

CARTITUDE-2 (NCT04133636) is an ongoing, multicohort Phase 2 study evaluating the efficacy and safety of ciltacabtagene autoleucel (CARVYKTI®) in patients in different clinical settings, including patients with one to three prior lines of therapy, and continues to generate long-term follow-up data on depth and durability of response. CARTITUDE-2 findings have been presented at major medical congresses, including the International Myeloma Society (IMS) Annual Meeting, and contribute to the growing body of evidence supporting earlier use of CARVYKTI® in multiple myeloma.

About multiple myeloma

Multiple myeloma is a complex blood cancer that affects a type of white blood cell called plasma cells, which are found in the bone marrow.2 In multiple myeloma, these plasma cells proliferate and spread rapidly and replace normal cells in the bone marrow with tumors.3 Multiple myeloma is the third most common blood cancer worldwide.4 More than 180,000 new cases of multiple myeloma are diagnosed globally each year.5 People living with multiple myeloma have a 5-year survival rate of 59.8%.6 While some people diagnosed with multiple myeloma initially have no symptoms, most patients are diagnosed due to symptoms that can include bone fracture or pain, low red blood cell counts, tiredness, high calcium levels and kidney problems or infections.7,8 In recent years, potential overall survival has improved from years to decades for some patients, with effective treatment options now available across every stage and line of therapy.9

About Johnson & Johnson's multiple myeloma portfolio

Johnson & Johnson is a global leader in multiple myeloma therapies, with a broad and differentiated portfolio designed to address the complexity and heterogeneity of the disease. Our portfolio spans multiple mechanisms of action, targets and treatment modalities, including CD38-directed therapies, BCMA- and GPRC5D-targeting bispecific antibodies, and cellular therapies.

Over the past decade, Johnson & Johnson therapies have helped extend survival for patients with multiple myeloma. With the right medicines, used as early as possible, combined and sequenced for the best results, Johnson & Johnson is expanding treatment options to match the right therapy to the right patient at the right stage of disease and drive deeper and more durable responses.

Through ongoing research and a robust clinical program, Johnson & Johnson is committed to transforming multiple myeloma into a more manageable condition that is no longer treated to progression but has the potential to, ultimately, be cured.

About CARVYKTI®

CARVYKTI® (cilta-cel) received U.S. Food and Drug Administration approval in February 2022 for the treatment of adults with relapsed or refractory multiple myeloma after four or more prior lines of therapy, including a proteasome inhibitor, an immunomodulatory agent, and an anti-CD38 monoclonal antibody.10

In April 2024, CARVYKTI® was approved in the U.S. for treatment of adult patients with relapsed or refractory multiple myeloma who have received at least one prior line of therapy including a proteasome inhibitor, an immunomodulatory agent, and who are refractory to lenalidomide, following a unanimous (11 to 0) FDA Oncologic Drugs Advisory Committee (ODAC) recommendation in support of this new indication. In April 2024, the European Medicines Agency (EMA) approved a Type II variation for CARVYKTI® for the treatment of adults with relapsed and refractory multiple myeloma who have received at least one prior therapy, including an immunomodulatory agent and a proteasome inhibitor, have demonstrated disease progression on the last therapy, and are refractory to lenalidomide. In September 2022, Japan's Ministry of Health, Labour and Welfare (MHLW) approved CARVYKTI® for the treatment of adults with relapsed or refractory multiple myeloma in patients that have no history of CAR-positive T cell infusion therapy targeting BCMA and who have received three or more lines of therapies, including an immunomodulatory agent, a proteasome inhibitor and an anti-CD38 monoclonal antibody, and in whom multiple myeloma has not responded to or has relapsed following the most recent therapy. In July 2026, CARVYKTI® obtained a label expansion in Japan, allowing its use in patients with relapsed or refractory multiple myeloma who have received at least on prior therapy.

CARVYKTI® is a BCMA-directed, autologous T-cell immunotherapy, which involves reprogramming a patient's own T-cells with a transgene encoding chimeric antigen receptor (CAR) that directs the CAR-positive T cells to eliminate cells that express BCMA. BCMA is primarily expressed on the surface of malignant multiple myeloma B-lineage cells, as well as late-stage B cells and plasma cells. The CARVYKTI® CAR protein features two BCMA-targeting single domains designed to confer high avidity against human BCMA. Upon binding to BCMA-expressing cells, the CAR promotes T-cell activation, expansion, and elimination of target cells. CARVYKTI® is available in 17 markets worldwide and has been used to treat more than 13,000 patients globally.

In December 2017, Janssen Biotech, Inc., a Johnson & Johnson company, entered into an exclusive worldwide license and collaboration agreement with Legend Biotech USA, Inc. to develop and commercialize CARVYKTI®.

Ault & Company Has Invested $55 Million in Capital to Hyperscale Data
Image File
Original HTML

Ault & Company Beneficially Owns Approximately 62% of Hyperscale Data and Believe a Significant Disconnect Exists Between Hyperscale Data's Market Capitalization and the Value of Its Assets

LAS VEGAS, Sept. 25, 2026 /PRNewswire/ -- Ault & Company, Inc. ("Ault & Company"), a private holding company controlled by Milton "Todd" Ault III, today announced that Ault & Company has invested $55 million of capital directly into Hyperscale Data, Inc., an NYSE American listed company ("Hyperscale Data"), through the purchase of convertible preferred stock. Such figure doesn't include funds expended by Ault & Company or any of its affiliates in purchasing Hyperscale Data common stock in open market purchases.

Ault & Company and its affiliates currently beneficially own approximately 62% of Hyperscale Data. For further details on Ault & Company's ownership of Hyperscale Data, please reference the Schedule 13D/A Amendment No. 19, filed with the U.S. Securities and Exchange Commission on September 15, 2026 by Ault & Company and its affiliates.

Ault & Company believes there is an extraordinary disconnect between Hyperscale Data's current public market valuation and the value of the assets and businesses owned by the Hyperscale Data.

Ault & Company believes the following Hyperscale Data assets and opportunities support its long-term investment thesis:

Michigan AI data center. Hyperscale Data has reported that it has invested more than $70 million into the Michigan facility owned and operated by its wholly owned subsidiary, Alliance Cloud Services, LLC ("ACS"). ACS has executed a master services agreement ("MSA") for an initial 20 megawatts ("MW") of critical artificial intelligence ("AI") compute capacity. The customer has the right to expand the deployment to a total of 52 MW.

Long-term contract potential. Hyperscale Data expects revenue from the initial 20 MW deployment to exceed $1.2 billion if the MSA remains in effect for its maximum 20-year term. If the customer exercises its expansion right and the additional capacity remains contracted for the applicable maximum term, total potential contract revenue could exceed $3.0 billion. The contemplated 52 MW deployment could represent less than 20% of the approximately 340 MW of total potential capacity that ACS believes can be ultimately available. Hyperscale Data has advised that the development of any capacity beyond the initial 20 MW covered by the MSA is subject to financing, regulatory approvals, engineering, utility agreements, infrastructure availability, customer demand and other conditions. There can be no assurance that additional capacity will be developed, financed, contracted or placed into service.

Potential value of the Michigan campus. Hyperscale Data management has stated that it presently believes the Michigan campus could support a valuation of approximately $750 million to $1.25 billion. Management of Hyperscale Data has set $750 million as the minimum valuation at which it presently believes a sale would merit serious consideration. The range is management's assessment, not an independent appraisal or an assurance that a transaction could occur at either amount.

Reported asset base. Hyperscale Data reported approximately $360 million of total assets as of June 30, 2026, reflecting its Michigan investment, operating businesses and other holdings.

Operating businesses and strategic assets. Hyperscale Data reported $34.8 million of consolidated revenue for the quarter ended June 30, 2026. Its interests include defense and aerospace, crane rental, hotels, commercial lending, blockchain technology and software, in addition to its Michigan AI data center.

Bitcoin and cash. As of September 13, 2026, Hyperscale Data reported approximately $51 million of Bitcoin, cash and restricted cash.

"We have committed substantial capital to Hyperscale Data because we believe in the value of what it owns and the opportunities ahead," said Mr. Ault, Chief Executive Officer of Ault & Company and Executive Chairman of Hyperscale Data. "The Michigan campus has an executed customer agreement, significant capital invested and the potential to expand. Management believes that the campus could support a valuation of $750 million to $1.25 billion. Beyond Michigan, Hyperscale Data has established operating businesses and other strategic assets. As its largest stockholder, Ault & Company, together with its affiliates, is focused on supporting Hyperscale in the work needed to develop these assets and demonstrate their value over time."

Ault & Company expects to continue evaluating additional investments in Hyperscale Data, including its right to purchase up to an additional $96 million of series H convertible preferred stock, subject to market conditions, applicable securities laws and other considerations. This press release is for informational purposes only and shall not constitute an offer to buy or sell common stock or any other securities.

This press release contains forward-looking statements within the meaning of applicable federal securities laws. These forward-looking statements generally include statements that are predictive in nature and depend upon or refer to future events or conditions, and include words such as "believes," "plans," "anticipates," "projects," "estimates," "expects," "intends," "strategy," "future," "opportunity," "may," "will," "should," "could," "potential," or similar expressions. Statements that are not historical facts are forward-looking statements. Forward-looking statements are based on current beliefs and assumptions that are subject to risks and uncertainties.

These forward-looking statements include, among other matters, statements regarding the potential value of Hyperscale Data and its assets, the Michigan AI data center campus, expected revenue and cash flow under the MSA, potential expansion of the Michigan facility, future power capacity, management's valuation estimates, Hyperscale Data's financial guidance, future investments by Ault & Company and its affiliates and potential efforts to realize or unlock value from Hyperscale Data's businesses and assets.

Forward-looking statements are based upon current expectations, estimates and assumptions and are subject to significant risks and uncertainties. Actual results could differ materially from those expressed or implied by such statements.

The approximately $1.2 billion MSA revenue figure assumes that the initial 20 MW deployment continues throughout the maximum 20-year term. The potential greater than $3.0 billion figure assumes, among other matters, that the customer exercises its expansion right to 52 MW and that the expanded capacity remains in service throughout the applicable maximum term. There can be no assurance that such extensions or expansion will occur.

Similarly, the estimated valuation range by Hyperscale Data's management for the Michigan facility of approximately $750 million to $1.25 billion represents its current opinion based upon presently available information and does not constitute an independent appraisal, fairness opinion, offer to purchase or sell any asset, or assurance that a transaction could be completed at any particular valuation.

Development of additional capacity at the Michigan facility is subject to financing, regulatory approvals, engineering requirements, utility agreements, infrastructure availability, customer demand and numerous other conditions.

Readers should review Hyperscale Data's filings with the Securities and Exchange Commission, including its Annual Report on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K and the risk factors contained therein.

Forward-looking statements speak only as of the date they are made, and Ault & Company undertakes no obligation to update any of them publicly in light of new information or future events. Actual results could differ materially from those contained in any forward-looking statement as a result of various factors.

Marine Security Project to Be the First Tenant, Advancing the Company's Advanced Manufacturing Strategy in the UAE

UMM AL QUWAIN, UAE, Sept. 25, 2026 /PRNewswire/ -- Robo.ai Inc. (Nasdaq: AIIO) ("Robo.ai" or the "Company") today announced that a groundbreaking ceremony was held in Umm Al Quwain for Phase I of the ALIF Holding Group Industrial Park (the "Industrial Park"). The first of the Industrial Park's three planned phases will have a designed gross floor area of approximately 8,845 square meters and is expected to involve the refurbishment of existing factory premises to provide local integration and manufacturing capabilities for ALIF Holding's industrial projects. The site is intended to be held by a majority-owned subsidiary of ALIF Holding whose registration in Umm Al Quwain is in progress; the related transfer procedures are underway and subject to approval by the competent authorities.

The Phase I groundbreaking marks an important step in ALIF Holding's efforts to bring its projects into operation through the Industrial Park and establish a local industrial platform. For Robo.ai, the Industrial Park is an important part of its advanced manufacturing strategy. It will support the industrial application of relevant technologies and products in the UAE, facilitate commercialization with government, critical infrastructure and industrial customers, and underpin the development of the Company's intelligent infrastructure business.

Robo.ai previously announced plans to establish Alif Maritec, focused on marine security and intelligent maritime infrastructure. It is expected to be the first majority-owned subsidiary project to move into Phase I following refurbishment and operational readiness. Its proposed portfolio focuses on three areas:

Marine oil spill emergency response. The proposed system would connect spill detection, containment and recovery with water-quality verification. It is intended to link the main stages of marine pollution response, from identifying a spill and limiting its spread to recovering spilled material and checking water conditions, supporting coordinated emergency operations.

Land border security. For desert border protection, the planned solution would combine physical barriers, field sensors and unified command. By connecting on-site protection and detection with early warning and response coordination, it is intended to help operational teams understand conditions along the protected boundary and organize responses.

AI-enabled defense and intelligent monitoring. The proposed portfolio includes AI-enabled defense systems and a smart monitoring platform for critical infrastructure protection. The platform would use AI analytics and sensor data fusion to bring multiple sources of information into a real-time view of on-site conditions, supporting centralized command, assessment and coordinated response.

Phase I is intended to provide facilities for local manufacturing of these proposed products and for the integration of equipment and software systems, connecting development of the Industrial Park with specific project needs. Other ALIF Holding projects would be accommodated as business needs evolve.

The groundbreaking ceremony was attended by H.E. Dr. Ahmed Naser Al-Raisi, Chairman of ALIF Holding, together with Sheikh Ali bin Abdulrahman Al Nuaimi, a member of the ruling family of the Emirate of Ajman, and Sheikh Saqr bin Saud Al Mualla and Sheikh Al Mualla bin Ahmed Al Mualla, members of the ruling family of the Emirate of Umm Al Quwain. The attending guests spoke highly of ALIF Holding's industrial development plans and progress.

The ALIF Holding Group Industrial Park is planned to be developed in three phases. Phase I will use and refurbish existing factory premises to accommodate near-term projects; Phase II will involve the construction of new factory facilities to expand manufacturing capacity; and Phase III will provide reserve space for future projects and business expansion. This phased approach is designed to align facility development with business needs while balancing near-term plan with long-term growth. ALIF Holding aims to have at least three project companies establish operations in the Industrial Park by the end of 2026, subject to the availability and readiness of suitable premises and progress of each project.

"This project marks a new beginning for ALIF in the industrial sector," said Dr. Jasem Al Mansoori Chief Executive Officer of ALIF Holding. "Our goal is to combine advanced technologies with local manufacturing and build businesses that create long-term value for the UAE while serving international markets."

The Phase I refurbishment, the establishment of project companies within the Industrial Park and the commencement of commercial production will proceed in stages as the relevant conditions are met. The timing of each step will depend on the progress of the relevant works, completion of necessary company formation and approval procedures, availability of funding, and operational readiness.

Demand for plant growth regulators worldwide is growing rapidly, driven by the increasing emphasis on sustainable agriculture practices like organic farming, which in turn increases demand for plant growth regulators that boost plant growth with low externalities in line with sustainable principles. Technological advancements in agriculture also support the market, driving better formulations and product development to improve the efficacy of plant growth regulators. Awareness of the advantages of plant growth regulators, the growing agricultural industry, and government initiatives boosting agricultural development have strengthened demand in this market. These push factors contribute to the global growth of the plant growth regulator market.

The ethylene segment holds a significant market share in the type segment of the plant growth regulator market.

Ethylene holds a significant share in the type segment of the plant growth regulator market because it regulates key physiological processes in crops, such as fruit ripening, flowering, leaf abscission, and stress response. Ethylene is highly versatile for horticultural and field crops, making it important for increasing yield and quality. Key examples include ethylene-releasing compounds such as ethephon, used to synchronize flowering, accelerate fruit ripening, and improve harvesting in major crops like tomatoes, bananas, apples, and cotton. Ethylene-based PGRs are therefore acceptable, given the growing demand for high-value fruits and vegetables; hence, ripening precision and uniformity are crucial prerequisites for market specifications and export regulations. Still, innovations in controlled-release and environmentally friendly ethylene formulations enable high efficacy in minimizing losses, strengthening the dominance of ethylene PGRs. These factors help keep ethylene in a leading position in the global plant growth regulator market.
