TONOPAH, Nev., Sept. 17, 2026 /PRNewswire/ -- A2Gold Corp. ("A2Gold" or the "Company") (TSXV: AUAU) (OTCQX: AUXXF) (FRA: RR7) is pleased to announce assay results from the first phase of reverse circulation ("RC") drilling completed at the McIntosh Target, part of the Company's district-scale Eastside Gold-Silver Project in Esmeralda County, Nevada, within the Walker Lane Trend.

ES-347 intersected 0.23 g/t gold over 65.5 metres beginning at 253.0 metres downhole, representing the discovery of a new zone of gold mineralization approximately 370 metres southwest of the current McIntosh resource.

ES-342 intersected 0.20 g/t gold over 32.0 metres beginning at 214.9 metres downhole, representing an 86-meter extension of known McIntosh mineralization and providing a compelling target for mineralization extension.

The new discovery in ES-347 is associated with a ~1.5 km-long but previously untested north- to northwest-oriented magnetic low anomaly.

Gold mineralization in both ES-347 and ES-342 occurs primarily along the margins of magnetic low anomalies, consistent with the geophysical relationships observed within the existing McIntosh resource.

The results provide additional support for the Company's use of integrated geophysics and geology to target mineralization outside the existing McIntosh resource footprint.

Peter Gianulis, CEO of A2Gold, commented: "The Phase 1 South McIntosh program accomplished two important objectives: it extended mineralization beyond the existing resource boundary and identified gold mineralization associated with a previously untested geophysical target southwest of McIntosh. While additional drilling will be required to understand the scale and continuity of this new zone, the results provide useful confirmation that the magnetic features surrounding McIntosh can help us identify additional mineralized structures. This work is contributing to our broader targeting strategy across the Eastside district."

McIntosh RC Drilling Results The first phase of RC drilling was designed to evaluate opportunities for resource expansion while testing high-priority geophysical targets adjacent to the existing McIntosh resource.

Hole ES-347 intersected 0.23 g/t gold over 65.5 metres beginning at 253.0 metres downhole, representing the discovery of a new zone of gold mineralization approximately 370 metres southwest of the current McIntosh resource. ES-347 represents the first drill test to intersect gold mineralization associated with a ~1.5 km north- to northwest-trending magnetic low anomaly identified in recently collected geophysical data.

Hole ES-342 intersected 0.20 g/t gold over 32.0 metres beginning at 214.9 metres downhole, extending known gold mineralization approximately 86 metres southeast of the current McIntosh resource. The intercept demonstrates that mineralization continues beyond the existing resource boundary and provides a target for additional drilling southeast of McIntosh.

Table Notes: Reported drill intercepts were calculated using a 0.10 g/t Au cut-off grade with a maximum of 5.0 metres of consecutive internal dilution. No limit was applied to the total amount of non-consecutive internal dilution included within a composite. All reported intercepts begin and end with assays above the cut-off grade. Composite intervals were calculated using uncapped raw assay values. Reported intervals represent downhole drilled lengths; true widths have not yet been determined.

Geological Significance The new gold mineralization identified in ES-347 is spatially associated with a previously untested, prominent magnetic low anomaly. Geological interpretation indicates that gold mineralization occurs primarily along the margin of the magnetic low, a relationship that closely mirrors the mineralization pattern previously identified within the existing McIntosh resource.

The similarity between the geophysical setting of ES-347 and mineralization at McIntosh suggests that magnetic-low margins may provide an effective targeting tool for identifying additional mineralized structures across the broader Eastside district. The magnetic feature associated with ES-347 remains largely untested and provides additional targets for future drilling.

Exploration Potential The first phase of RC drilling supports A2Gold's broader Eastside exploration strategy of expanding known mineralization while also testing structural and geophysical targets that may represent higher-grade feeder zones within the broader epithermal system.

The southeast extension intersected in hole ES-342 demonstrates continued potential to expand mineralization adjacent to the existing McIntosh deposit, while the new mineralized zone in ES-347 provides an additional target for future follow-up drilling. These results will also help guide the Company's ongoing evaluation and prioritization of structural targets across the broader Eastside district.

Future drilling at McIntosh will be prioritized alongside other Eastside targets based on geological interpretation, geophysical targeting and the potential to identify higher-grade mineralized structures.

Quality Assurance / Quality Control The RC drilling program included the routine insertion of certified reference materials, blanks, and field duplicates as part of the Company's quality assurance and quality control ("QA/QC") procedures. Drill samples were submitted to American Assay Laboratories in Reno, Nevada, an ISO/IEC 17025 accredited analytical laboratory. Gold analyses were completed using a 30-gram fire assay with an OES (optical emission spectrometry) finish. Samples exceeding the laboratory's upper detection limit are reanalyzed using gravimetric methods.

Eterna Regeneratives Raises $4m to Pioneer a Platform for Enamel and Bone Regeneration
Image File
Original HTML

LONDON, Sept. 17, 2026 /PRNewswire/ -- UK startup Eterna Regeneratives has closed a seed investment round led by Hoxton Ventures and The Venture Collective (TVC) to build its regenerative biomaterial platform spanning enamel repair and bone regeneration, starting with the $43bn global oral care market. Co-founded by Khaled Eissa and Dr Sherif Elsharkawy in 2024, the King's College London spin-out attracted international attention last year when studies found the team's revolutionary patented material could successfully regrow damaged tooth enamel using keratin - a protein found in human hair, skin and wool. The research developed by Dr Elsharkawy and Dr Sara Gamea, his PhD student, was picked up widely by national and international media, including from the BBC, Washington Post and Newsweek, putting keratin-based regeneration on the map well before a commercial product existed.

Now working to develop a pipeline of material technologies, Eterna aims to tackle a problem that affects nearly everyone: the slow, irreversible loss of tooth enamel. The team at Eterna Regeneratives believes that symptom management cannot be the only solution. "The only way to truly heal the human body is to help it heal itself," said Khaled Eissa, co-founder and CEO. "We wanted to create a product that is readily available, scalable and has the potential to deliver long-term results." "This investment lets us move from lab-based proof of concept to real-world products at pace," said Dr Sherif Elsharkawy, Chief Scientific Officer and co-founder. "It is a validation of years of research, and a step change in how quickly we can bring this technology to patients."

Unlike many other tissues in the human body, tooth enamel cannot naturally regenerate once it has been lost. This can lead to hypersensitivity, cavities, tooth pain and the gradual deterioration of teeth. Fluoride, the best option currently available on the market, only superficially addresses the problem – offering minor strengthening of existing enamel but failing to rebuild what has already been lost. Resin, the go-to for professional repair, merely fills a tooth rather than rebuilding it, and has a finite lifespan, often resulting in necessary replacements and high costs for patients. It is against this backdrop that Eterna has created a keratin-based material that can be added to toothpaste, enabling cost-effective and lasting enamel regeneration.

Eterna's patented keratin-based product has delivered striking results. In vitro experiments carried out on extracted tooth samples revealed a new, enamel-like layer forming directly on the tooth surface, as the material stimulates a mineralisation process. Treated samples showed hardness and mechanical strength restored to levels close to that of native, healthy enamel. Moreover, the technology has shown the capacity to reduce abrasion and even treat decay. This provides a first glimpse into what it might look like to help a tooth heal itself, instead of simply patching over damage. It is also significantly cheaper than alternatives, delivering meaningful treatment at a fraction of the cost.

Hussein Kanji, Partner at Hoxton Ventures

"Eterna is the kind of company we like to back early: powerful, defensible science with a capital-efficient route to market. Its technology has the potential to transform oral care from managing enamel loss to actually repairing it, while opening the door to broader applications in tissue and bone regeneration. Khaled and Sherif are the right scientific team to bring this from the lab and to global scale."

Gina Kirch, Founding Partner at The Venture Collective:

"Eterna is looking beyond basic healing to achieve complete tissue restoration. For too long, patients have had to settle for treatments that manage damage rather than repair it. Eterna is revolutionizing this standard of care, harnessing its patented keratin technology to help the body regenerate itself more fully than existing options allow."

Eterna's second application will build on the same patented knowledge, this time targeting bone regeneration. Today, when someone breaks a bone, soft tissue grows back into the site without resolving the underlying fragility. Medical solutions typically involve inserting a collagen membrane and hoping the bone regrows. But preliminary tests suggest Eterna's keratin-based technology could be harnessed to regenerate strong, healthy bone.

Oral health is Eterna's first commercial beachhead, with further IP in the pipeline beyond bone regeneration. The company is expanding its research and commercial teams and building relationships with oral-care companies, professional partners and consumer-health groups, with a clear focus on delivering its first commercial product in the near term. By embedding its material into products already on the market, Eterna aims to bring its sophisticated but accessible science directly to consumers.

About Eterna

Eterna Regeneratives is a UK biotechnology spin-out from King's College London, founded in 2024 by Khaled Eissa and Sherif Elsharkawy. Backed by Hoxton Ventures and The Venture Collective, Eterna is building a biomaterials platform for mineralisation and tissue regeneration, with initial applications in enamel repair and bone. Their patented platform uses keratin, derived from sheep's wool, to guide new mineral growth at the site of damage, working with the body's own chemistry beyond just protection. The company has now grown into a new lab space in Canary Wharf, where they are focused on commercialising their product, building their IP pipeline, and partnering with healthcare companies to bring their product to the mass market.

Agreement secured through channel partner Amwell significantly expands Dario's reach through its channel distribution strategy

Program for Dario's cardiometabolic suite and provider-backed care expected to launch with the customer and begin generating revenue in the first quarter of 2027

Marks the third large state health plan signed through Amwell in the past 12 months, following contracts in Arizona and Florida

NEW YORK, Sept. 17, 2026 /PRNewswire/ -- DarioHealth Corp. (NASDAQ: DRIO) (the "Company", "DarioHealth" or "Dario"), a leading AI-powered healthcare technology company transforming the management of chronic conditions, today announced a new contract with a leading health plan in New Jersey, one of the largest in the state representing approximately 1.5 million covered lives. The agreement was secured through Dario's strategic channel partnership with Amwell and is expected to launch and begin generating revenue in the first quarter of 2027.

The new agreement represents a significant expansion of Dario's reach into large health plan populations and further demonstrates the scalability of the Company's channel distribution strategy. As an administrative services only ("ASO") health plan, the customer provides Dario with the opportunity to access a large population of self-funded employer groups that will be able to deploy Dario's cardiometabolic solutions.

"This is exactly the type of scale we envisioned when we built our channel strategy," said Erez Raphael, Chief Executive Officer of Dario. "A single agreement gives Dario the opportunity to reach one and a half million covered lives through one of New Jersey's largest health plans, while our multi-condition platform and provider-backed care capabilities create opportunities to deliver even greater value within each employer customer relationship. Combined with DarioIQ's ability to personalize engagement at scale, this agreement brings together several growth drivers and demonstrates the compounding potential of the platform we have built."

The agreement further expands Dario's relationship with Amwell as a scalable distribution channel and stands in addition to previously secured contracts with major health insurers in Arizona and Florida. The addition of approximately 1.5 million covered lives through the New Jersey plan demonstrates the potential for channel partners to connect Dario with large payer populations while reducing reliance on a traditional direct-sales model.

Dario's integrated platform enables health plans and employers to address multiple chronic conditions through a single solution spanning diabetes, hypertension, weight management, musculoskeletal and behavioral health needs. Dario has also expanded its platform to include provider-backed clinical care, extending its capabilities from continuous digital engagement and chronic condition management through provider-led care.

Nuvation Bio Announces FDA Approval of Supplemental New Drug Application for IBTROZI® (taletrectinib) with Updated Duration of Response in TKI-Naïve Advanced ROS1-Positive Non-Small Cell Lung Cancer
Image File
Original HTML

Updated label reflects TRUST-I TKI-naïve median duration of response of nearly 50 months

No changes to the safety sections of labeling with longer follow-up and no new safety signals identified

Approval comes four months ahead of PDUFA date

NEW YORK, Sept. 16, 2026 /PRNewswire/ -- Nuvation Bio Inc. (NYSE: NUVB), a global oncology company focused on tackling some of the toughest challenges in cancer treatment, today announced that the U.S. Food and Drug Administration (FDA) has approved a supplemental New Drug Application (sNDA) for IBTROZI® (taletrectinib), a ROS1 inhibitor approved for the treatment of locally advanced or metastatic ROS1-positive (ROS1+) non-small cell lung cancer (NSCLC).

The updated IBTROZI label now reflects updated median duration of response (DOR) for the TRUST-I study, with a median DOR of 49.7 months in TKI-naïve patients in TRUST-I, reflecting more than four years of sustained clinical benefit. This update came with no changes to the safety sections of labeling, with no new signals identified with longer follow-up, confirming the safety profile.

The sNDA approval reflects a median follow-up of 51 months for patients from the TRUST-I study and incorporates an additional 14 months of data from both of the pivotal TRUST-I and TRUST-II studies as of an August 2025 data cutoff. Many patients remained on therapy for extended periods with a continued response—some for multiple years—highlighting the long-term durability and tolerability of IBTROZI and reinforcing its importance as a treatment option for advanced ROS1+ NSCLC. These data were also presented at the American Association for Cancer Research (AACR) Annual Meeting 2026 and simultaneously published in the Journal of Clinical Oncology.

"This approval is a significant milestone for IBTROZI because this data is now part of the FDA-approved label, something physicians and patients can turn to directly," said David Hung, M.D., Founder, President, and Chief Executive Officer of Nuvation Bio. "A median duration of response of more than four years—the longest median DOR reported for an FDA-approved ROS1 TKI—is a remarkable outcome for people living with ROS1+ NSCLC, and having it in the label means something real for patients: a clearer sense of how long they might expect to stay on treatment, and more confidence in what that path could look like at a moment when a new diagnosis can feel overwhelming. It also gives physicians additional evidence to support using IBTROZI early in a patient's care, when that choice matters most."

The U.S. FDA granted full approval to IBTROZI in June 2025 for the treatment of locally advanced or metastatic ROS1+ NSCLC across lines of therapy. IBTROZI is also approved for patients with advanced ROS1+ NSCLC in Japan, where it is marketed by Nippon Kayaku, and in China, where it is marketed by Innovent Biologics under the brand name DOVBLERON®. Additionally, the Company, along with its partner, Eisai, announced in March 2026 that the Marketing Authorisation Application (MAA) for taletrectinib was validated by the European Medicines Agency (EMA) for full approval consideration with a standard review timeline, and in June 2026 that the MAA was validated by the Medicines and Healthcare products Regulatory Agency (MHRA) in the United Kingdom.

About ROS1+ NSCLC

Each year, more than one million people globally are diagnosed with non-small cell lung cancer (NSCLC), the most common form of lung cancer. It is estimated that approximately 2% of patients with NSCLC have ROS1+ disease. About 35% of patients newly diagnosed with metastatic ROS1+ NSCLC have tumors that have spread to their brain. The brain is also the most common site of disease progression, with about 50% of previously treated patients developing central nervous system (CNS) metastases.

About IBTROZI

IBTROZI is an oral, potent, CNS-active, selective, next-generation ROS1 inhibitor therapy. On June 11, 2025, following Priority Review and Breakthrough Therapy designations for both TKI-naive and TKI-pretreated disease, the U.S. Food and Drug Administration (FDA) approved taletrectinib for the treatment of adult patients with locally advanced or metastatic ROS1+ NSCLC. Learn more about taletrectinib in the U.S. at IBTROZI.com.

About the TRUST Clinical Program

The TRUST clinical program comprises three registrational studies evaluating the safety and efficacy of IBTROZI. TRUST-I (NCT04395677) and TRUST-II (NCT04919811) are Phase 2 single-arm studies evaluating IBTROZI for the treatment of adults with advanced ROS1+ NSCLC in China (N=173) and globally (N=189), respectively. The primary endpoint of both studies is confirmed objective response rate (cORR) as assessed by an independent review committee. TRUST-IV (NCT07154706) is a Phase 3 placebo-controlled study evaluating IBTROZI for the adjuvant treatment of adults with resected early-stage ROS1+ NSCLC. The study will enroll approximately 180 patients in the U.S., Canada, Europe, Japan and China. The primary endpoint is disease-free survival as determined by investigator, and the primary completion date is estimated to be in 2030. Nuvation Bio is also sponsoring TRUST-III (NCT06564324), a confirmatory randomized Phase 3 study evaluating IBTROZI versus crizotinib in 194 patients in China with advanced ROS1+ NSCLC who have not previously received ROS1 TKIs.

U.S. Indication

IBTROZI is indicated for the treatment of adult patients with locally advanced or metastatic ROS1+ non-small cell lung cancer (NSCLC).

IMPORTANT SAFETY INFORMATION FOR IBTROZI® (taletrectinib)

WARNINGS AND PRECAUTIONS

Hepatotoxicity: Hepatotoxicity, including drug-induced liver injury and fatal adverse reactions, can occur. 88% of patients experienced increased AST, including 10% Grade 3/4. 85% of patients experienced increased ALT, including 13% Grade 3/4. Fatal liver events occurred in 0.6% of patients. Median time to first onset of AST or ALT elevation was 15 days (range: 3 days to 20.8 months).

Increased AST or ALT each led to dose interruption in 7% of patients and dose reduction in 5% and 9% of patients, respectively. Permanent discontinuation was caused by increased AST, ALT, or bilirubin each in 0.3% and by hepatotoxicity in 0.6% of patients.

Concurrent elevations in AST or ALT ≥3 times the ULN and total bilirubin ≥2 times the ULN, with normal alkaline phosphatase, occurred in 0.6% of patients.

Interstitial Lung Disease (ILD)/Pneumonitis: Severe, life-threatening, or fatal ILD or pneumonitis can occur. ILD/pneumonitis occurred in 2.3% of patients, including 1.1% Grade 3/4. One fatal ILD case occurred at the 400 mg daily dose. Median time to first onset of ILD/pneumonitis was 3.8 months (range: 12 days to 11.8 months).

ILD/pneumonitis led to dose interruption in 1.1% of patients, dose reduction in 0.6% of patients, and permanent discontinuation in 0.6% of patients.

QTc Interval Prolongation: QTc interval prolongation can occur, which can increase the risk for ventricular tachyarrhythmias (e.g., torsades de pointes) or sudden death. IBTROZI prolongs the QTc interval in a concentration-dependent manner.

In patients who received IBTROZI and underwent at least one post baseline ECG, QTcF increase of >60 msec compared to baseline and QTcF >500 msec occurred in 13% and 2.6% of patients, respectively. 3.4% of patients experienced Grade ≥3. Median time from first dose of IBTROZI to onset of ECG QT prolongation was 22 days (range: 1 day to 38.7 months). Dose interruption and dose reduction each occurred in 2.8% of patients.

Significant QTc interval prolongation may occur when IBTROZI is taken with food, strong and moderate CYP3A inhibitors, and/or drugs with a known potential to prolong QTc. Administer IBTROZI on an empty stomach. Avoid concomitant use with strong and moderate CYP3A inhibitors and/or drugs with a known potential to prolong QTc.

Hyperuricemia: Hyperuricemia can occur and was reported in 14% of patients, with 16% of these requiring urate-lowering medication without pre-existing gout or hyperuricemia. 0.3% of patients experienced Grade ≥3. Median time to first onset was 2.1 months (range: 7 days to 35.8 months). Dose interruption occurred in 0.3% of patients.

Myalgia with Creatine Phosphokinase (CPK) Elevation: Myalgia with or without CPK elevation can occur. Myalgia occurred in 10% of patients. Median time to first onset was 11 days (range: 2 days to 10 months).

Concurrent myalgia with increased CPK within a 7-day time period occurred in 0.9% of patients. Dose interruption occurred in 0.3% of patients with myalgia and concurrent CPK elevation.

Skeletal Fractures: IBTROZI can increase the risk of fractures. ROS1 inhibitors as a class have been associated with skeletal fractures. 3.4% of patients experienced fractures, including 1.4% Grade 3. Some fractures occurred in the setting of a fall or other predisposing factors. Median time to first onset of fracture was 10.7 months (range: 26 days to 29.1 months). Dose interruption occurred in 0.3% of patients.

Embryo-Fetal Toxicity: Based on literature, animal studies, and its mechanism of action, IBTROZI can cause fetal harm when administered to a pregnant woman.

ADVERSE REACTIONS

Among patients who received IBTROZI, the most frequently reported adverse reactions (≥20%) were diarrhea (64%), nausea (47%), vomiting (43%), dizziness (22%), rash (22%), constipation (21%), and fatigue (20%).

The most frequently reported Grade 3/4 laboratory abnormalities (≥5%) were increased ALT (13%), increased AST (10%), decreased neutrophils (5%), and increased creatine phosphokinase (5%).

DRUG INTERACTIONS

- Strong and Moderate CYP3A Inhibitors/CYP3A Inducers and Drugs that Prolong the QTc Interval: Avoid concomitant use.

- Gastric Acid Reducing Agents: Avoid concomitant use with PPIs and H2 receptor antagonists. If an acid-reducing agent cannot be avoided, administer locally acting antacids at least 2 hours before or 2 hours after taking IBTROZI.

Bank7 Corp. to Acquire Century Financial Services Corporation and Expand Southwest Franchise into New Mexico
Image File
Original HTML

OKLAHOMA CITY, Sept. 17, 2026 /PRNewswire/ -- Bank7 Corp. (NASDAQ: BSVN) (the "Company"), the parent company of Oklahoma City-based Bank7, and Century Financial Services Corporation ("Century"), the Santa Fe, New Mexico-based bank holding company for Century Bank, jointly announce today that they have entered into a definitive Agreement and Plan of Merger (the "Merger Agreement") to which Bank7 Corp. will acquire 100% of the outstanding common stock of Century Financial Services Corporation.

"The Century team members have built an exceptional, legacy deposit franchise through a trusted, relationship-driven banking model that has served New Mexico communities for generations. We look forward to working closely together to continue building on their work," said Thomas L. Travis, President and CEO of Bank7. "This transaction extends our footprint into an attractive and neighboring Southwest market, represents a disciplined use of our excess capital, and positions the combined organization to deliver personalized, high-touch service to even more business owners and entrepreneurs — all to the benefit of our customers, communities, and shareholders."

Upon completion, the transaction would create a combined Southwest banking organization with approximately $3.3 billion in total assets, pairing Bank7's high-performing franchise with Century's long-established New Mexico deposit franchise. The Company expects the acquisition to extend its footprint into an attractive and adjacent new market while adding a stable, legacy core deposit base.

Founded in 1887, Century Bank is one of the last remaining independent banks headquartered in New Mexico and the second-largest bank headquartered in the state. Century operates eight branches across New Mexico, complemented by two loan production offices in Dallas and Houston, Texas, and serves its markets through a relationship-driven, "local-first" community banking model with the capabilities of a regional bank. As of June 30, 2026, Century Bank reported total assets of $1.36 billion, total deposits of $1.23 billion, and gross loans of $845 million.

"We believe this is a great opportunity for both banks to enhance their presence in the southwest and create a stronger more robust banking institution to benefit our customers, employees, and communities," says Max Myers, CEO of Century Bank. "We are excited about this partnership and the opportunities it will provide for everyone involved. We look forward to expanding our existing presence in Texas and working closely with the leadership team at Bank7 to facilitate a seamless transition for our customers throughout New Mexico."

Bank7 intends to retain the Century Bank name and brand image.

Strategic Rationale

- Premier legacy, core deposit franchise. Century's $1.2 billion legacy, core deposit franchise — built over more than a century of community relationships — will strengthen the combined company's funding profile.

- Attractive market extension. The acquisition expands Bank7 into New Mexico, with a heavy focus on the attractive Santa Fe market, a contiguous addition to its existing Oklahoma, Texas, and Kansas markets.

- Scarcity value. As one of the last remaining independent banks headquartered in New Mexico and the second-largest bank based in the state, Century represents a rare franchise opportunity in Santa Fe, one of the region's most attractive and resilient markets.

- Disciplined use of excess capital. The transaction deploys excess capital that Bank7 has accumulated over time into a franchise-enhancing acquisition, an enhancement the Company believes will generate stronger long-term returns than buybacks, dividends, or organic growth alone.

Transaction Structure and Process

In connection with a receivership proceeding captioned KS StateBank Corporation v Peters et al., pending in the U.S. District Court for the District of Arizona (the "Receivership Case"), the Company previously announced on September 3, 2026 that it was named the successful bidder at an auction for a 71% controlling interest in Century, which was memorialized in a Receivership Stock Purchase Agreement (the "Receivership SPA"). Immediately following the auction, the Company and Century commenced negotiations to enter into the Merger Agreement. Subject to all necessary court approvals in the Receivership Case, Century's shareholder approvals and applicable regulatory approvals, the Company intends to pursue closing the transactions contemplated under the Merger Agreement. If, for any reason, the Merger Agreement is terminated, the Company intends to pursue closing the transactions contemplated in the Receiver SPA, which remains in effect following entry into the Merger Agreement.

Under the terms of the Merger Agreement, the Company will acquire 100% of the outstanding common stock of Century. Century will merge with and into the Company, with the Company continuing as the surviving entity, and Century Bank will subsequently merge with and into Bank7. At closing, each outstanding share of Century common stock will be converted into the right to receive a pro rata portion of aggregate consideration consisting of $70 million in cash and 1,232,657 shares of Company common stock. Based on 332,683 shares of Century common stock outstanding, this would equate to $210.41 in cash and 3.7052 shares of Company common stock per Century share, and implies an aggregate transaction value of approximately $137.3 million based on the Company's 10-day average closing share price of $54.57 as of September 16, 2026. Following the merger, Century Bank will merge with and into Bank7. The Company's previously announced agreement to acquire an approximately 71% controlling interest in Century from the court-appointed receiver remains in effect, and the Company pursuing the whole company transaction as its preferred path.

Based on 332,683 shares of Century common stock outstanding, this would equate to $210.41 in cash and 3.7052 shares of Company common stock per Century share, and implies an aggregate transaction value of approximately $136.9 million based on the Company's 10-day average closing share price of $54.28 as of September 15, 2026. The shares of Company common stock issued as consideration will be issued in a private placement exempt from registration under the Securities Act, and Century shareholders who are not accredited investors will receive cash in lieu of shares. The transaction is intended to qualify as a tax-free reorganization for U.S. federal income tax purposes. Completion of the transaction is subject to approval by Century's shareholders, the receipt of all required bank regulatory approvals, and the satisfaction of customary closing conditions. Century's directors and executive officers, the receiver, and certain minority shareholders, collectively holding a substantial majority of Century's outstanding shares, have entered into voting agreements in support of the transaction. The Company's previously announced Stock Purchase Agreement with the court-appointed receiver in the receivership proceeding captioned KS StateBank Corporation v. Peters, et al., pending in the U.S. District Court for the District of Arizona, remains in full force and effect, and the Company reserves all of its rights thereunder. A whole company transaction under the Merger Agreement is the Company's preferred path, and the Company intends to pursue it in lieu of, but without waiver of, the purchase of a controlling interest. Depending on the outcome of the court process and the terms of any order entered by the Court, the Company may elect to proceed under the Stock Purchase Agreement instead. The transaction is expected to close in the fourth quarter of 2026. There can be no assurance that either transaction will be completed on the terms described, or at all.

California Unveils Draft Emergency Regulation to Prohibit Artificial Stone Fabrication
Image File
Original HTML

Proposed Rule Could Take Effect as Early as December 2026 or January 2027 and Would Rapidly Phase Out Artificial Stone Containing More Than 1% Crystalline Silica

NOVATO, Calif., Sept. 17, 2026 /PRNewswire/ -- Brayton Purcell LLP today announced that California's Division of Occupational Safety and Health (Cal/OSHA) has released a draft emergency regulation that would prohibit the manufacture and fabrication of artificial stone containing more than 1% crystalline silica, a major milestone in the state's response to the ongoing silicosis epidemic affecting countertop fabrication workers.

The proposed regulation follows years of scientific research, medical evidence, and advocacy by physicians, workers, and families impacted by artificial stone silicosis. Earlier this year, the California Occupational Safety and Health Standards Board granted a petition submitted by the more than 600 physicians of the Western Occupational and Environmental Medical Association (WOEMA), urging the state to prohibit the fabrication and installation of artificial stone because of its severe occupational health risks.

Artificial stone, commonly used for kitchen and bathroom countertops, contains at least 90% crystalline silica by weight. Fabrication activities such as cutting, grinding, polishing, and edging release airborne nano-sized, high-surface area respirable crystalline silica dust. Medical and scientific research has increasingly linked exposure to artificial stone dust with accelerated silicosis, a progressive, irreversible, and fatal lung disease.

Cal/OSHA is accepting public comments on the draft emergency regulation through Sept. 30, 2026. Following the public comment period, the proposal will be considered by the Cal/OSHA Standards Board. If approved at the Board's October or November meeting, the emergency regulation could become effective as early as December 2026 or January 2027.

The proposal establishes a two-stage implementation process:

- Sixty days after the emergency regulation becomes effective, employers would no longer be permitted to purchase new artificial stone containing more than 1% crystalline silica for fabrication or manufacture.

- Employers would be allowed to continue fabricating inventory they purchased, contracted for, or possessed before the regulation's effective date during a limited transition period.

- All manufacture and fabrication of artificial stone containing more than 1% crystalline silica would be prohibited 180 days after the regulation becomes effective, regardless of when the material was acquired.

As a practical matter, if the regulation becomes effective in December 2026 or January 2027, California fabrication shops would have approximately six months to work through existing inventory before the prohibition is fully implemented.

"The release of this draft emergency regulation is a landmark moment in California's effort to address a devastating occupational disease that has affected hundreds of workers and their families," said James Nevin, partner at Brayton Purcell LLP, whose firm represents over 900 artificial stone silicosis clients throughout the U.S. "After reviewing scientific evidence, Cal/OSHA concluded that artificial stone is inherently dangerous and uniquely toxic. The agency's proposal reflects a growing recognition that existing control measures are not sufficient to prevent workers from developing silicosis. We commend Cal/OSHA for taking this important step and encourage the Standards Board to move quickly to finalize these protections."

California has documented hundreds of confirmed silicosis cases among countertop fabrication workers (644 as of today), many of whom developed disease after relatively short periods of exposure. Researchers and regulators have found that artificial stone poses hazards distinct from natural stone products because of its exceptionally high silica content, the presence of nano-sized, high-surface area particles generated during fabrication, and the additional uniquely toxic blend of resins, dyes, glues and heavy metals incorporated into the material.

The proposed regulation also reflects developments in other jurisdictions. Australia implemented a nationwide prohibition on artificial stone in 2024 after concluding that enforcement efforts and engineering controls could not adequately protect workers from crystalline silica exposure. Australian regulators reported that safer alternative countertop materials were, and have remained, widely available and that the transition away from artificial stone did not result in economic disruption.

"Workers and families across California have lived with the consequences of this disease for far too long," Nevin said. "The proposed regulation provides a clear pathway toward reducing future cases of artificial stone silicosis while allowing businesses time to transition to safer alternatives that are already available in the marketplace."
