The partnership establishes a framework for OnchainTA to provide tokenized securities capabilities to Transfer Online

FULLERTON, Calif., Nov. 3, 2026 /PRNewswire/ -- Akemona, Inc., a capital markets infrastructure provider for tokenized securities, today announced a partnership between its wholly owned subsidiary, Akemona TA Services, LLC, doing business as OnchainTA, and Transfer Online, Inc. (TOL). OnchainTA is an SEC-registered Digital Transfer Agent focused exclusively on tokenized securities, while TOL is a full-service, SEC-registered transfer agent. Under the signed agreement, OnchainTA will provide digital transfer agent services powered by Akemona's tokenization platform to TOL, enabling TOL to expand its services for tokenized securities.

Since 1999, TOL has provided transfer agent services to private and public companies, combining experienced human support with a technology-forward shareholder management platform, compliance-focused operations, and real-time reporting.

The relationship is designed to allow TOL to extend its issuer-facing transfer agent services to tokenized securities. TOL will remain the transfer agent of record and the primary point of contact for participating issuers, while OnchainTA will provide assigned tokenization and digital securities services through TOL-approved workflows.

"Transfer Online has always invested in its own technology, and that commitment keeps us at the forefront of the transfer agent industry," said Bryan Cochran, Director of Operations at Transfer Online. "For tokenization, we chose to partner with proven experts in the space to complement the platform we've built in-house. OnchainTA's digital securities capabilities let us offer issuers what's next in capital markets, while TOL remains their transfer agent of record and the team they already trust."

OnchainTA's Digital Transfer Agent services may include token setup, digital security recordkeeping, transfer and corporate action support, and reconciliation reporting. The scope of services for each issuer or offering will be mutually agreed by the parties.

"Rather than reinvent what specialists already do well, we brought in a leading tokenization partner and integrated their capabilities into our existing operations," added Cochran. "Every engagement runs through TOL-defined workflows, with full oversight and real-time visibility. Our team will support issuers from token setup through transfers, corporate actions, and reconciliation, and we plan to begin offering tokenization to Transfer Online clients early next year."

The agreement reflects a model developed for established transfer agents that want to add tokenized securities capabilities seamlessly alongside their existing operations. Services will be delivered through TOL-approved workflows and mutually agreed operating procedures.

"Transfer Online brings decades of transfer agent experience, a strong issuer-service model, and a practical commitment to technology," said Alex de Lorraine, Chief Executive Officer of Akemona. "Winning TOL's RFP and completing the partnership agreement are important validations of our approach. OnchainTA gives established transfer agents a way to add digital securities capabilities directly within their existing operating and compliance frameworks."

The relationship comes as OnchainTA prepares to introduce OnchainTA Release 2 shortly. Built on Akemona's tokenization infrastructure, the release will expand self-service capabilities across the Issuer Hub, Investor Portal, Admin Console, and related tokenization workflows. TOL personnel will receive training and support on the platform so they can obtain the records, reports, transaction information, and exception data needed to oversee each engagement and serve participating issuers.

OnchainTA Release 2 will include peer-to-peer Direct Transfer capabilities for compliant bilateral transfers of tokenized securities, subject to investor eligibility, identity verification, applicable transfer restrictions, and transfer agent controls. It will also include Cap Table Tokenization (CTT), which will enable verified issuer cap table positions to be converted into administered digital securities through a controlled process, and Digital Cap Table (DCT) capabilities designed to record, reconcile, and present digital security ownership information across complex ownership structures.

Akemona TA Services, LLC, doing business as OnchainTA, has operated as an SEC-registered Digital Transfer Agent for tokenized securities since 2021. OnchainTA combines registered transfer agent functions with Akemona's tokenization technology to support the administration of digital securities throughout their lifecycle.

"OnchainTA Release 2 brings together capabilities that issuers, transfer agents, and investors need as digital securities move into practical use," said Ravi Srivastava, Founder and Chief Product Officer of Akemona. "Peer-to-peer Direct Transfer, Cap Table Tokenization, and Digital Cap Table are being designed as connected parts of the same operating environment. Our work with Transfer Online gives us a strong framework for delivering those capabilities through an experienced, full-service transfer agent."

The companies expect to begin implementation planning and onboarding following completion of the applicable engagement documentation. Commercial terms were not disclosed.

I AM ALS Celebration Video for ACT for ALS

WASHINGTON, Nov. 3, 2026 /PRNewswire/ -- I AM ALS and its national force of advocates are celebrating as the President signed the ACT for ALS reauthorization bill into law. This comes after the Senate approved the bill by unanimous consent with just hours left until the law expired, even after the House went home early. The I AM ALS community first identified a major gap in access to investigational treatments and co-authored the original ACT for ALS Act to address it in 2021. Now, with years of success underway, the law has five more years to scale research infrastructure and treatment access, representing an investment of up to an additional $500 million for ALS.

"Over the past 7+ years, this community has changed what's possible in ALS," said I AM ALS co-founder Brian Wallach. "The I AM ALS community's leadership has brought us closer than ever to a cure by unlocking over $2 billion for federal ALS research, expanding and protecting access to life-changing therapies, and accelerating scientific breakthroughs. We thank our ALS congressional championsâincluding sponsors Senators Coons (D-DE) and Murkowski (R-AK) and Representatives Quigley (D-IL-05) and Calvert (R-CA-41)âand all the tireless advocates who helped renew this historic legislation for five more years."

Today's law passage is groundbreaking and thanks to the significant efforts of I AM ALS' community-led movement. Since ACT for ALS was first signed into law, I AM ALS has monitored and reported on the ground-breaking success of its implementation. Leading into the reauthorization year, I AM ALS built and deployed a comprehensive, multi-pronged advocacy campaign, including:

- Building and strengthening relationships with Congressional champions,

- Deploying a vast grassroots army of volunteer leaders from across the country,

- Partnering with researchers, other organizations, and celebrity ambassadorsâmost notably the late actor Eric Dane and professional wrestler Tanea "Rebel" Brooksâto strengthen and amplify our message, and

- Engaging with top experts in government affairs and public relations.

This year alone, I AM ALS held more than 430 in-person and virtual advocacy meetings and calls, secured more than 38,000 online actions, sent more than 95,000 emails, and gathered more than 20,100 petition signatures in the final weeks before expiration.

Unlike any other legislation the neurodegenerative landscape has ever seen, ACT for ALS has already invested hundreds of millions of dollars into ALS research, provided investigational therapy access for more than 800 patients who would not otherwise have qualified, and built lasting infrastructure for future learnings.

"These past months didn't just get a critical bill passed; they inspired a community that continually renews itself, welcomes new advocates, develops new leaders, and ensures that every generation is ready to fight for the next breakthrough," said Troy Fields, volunteer co-chair of the I AM ALS legislative affairs team, and person living with ALS. "ALS is relentless, but we continue to prove so are we."

"For the past five years, the ACT for ALS has advanced scientific research and helped people with ALS access the promising treatments they need. This reauthorization of the bill continues that work and lends hope to a future where there is a cure for ALS," said Congressman Quigley. "I'm glad this important bill was signed into law, and I'm thankful to my colleagues in both the House and the Senate for getting this done."

"I'm thrilled that the ACT for ALS Reauthorization Act has been signed into law, renewing our commitment to finding cures and treatments for ALS," said Rep. Calvert. "As a Co-Chair of the bipartisan ALS Caucus, I know just how hard those impacted by ALS have worked to get this bill enacted and I applaud their tireless advocacy. With the ACT for ALS Reauthorization Act officially signed into law, we celebrate this victory while remaining focused on the work ahead to end this terrible disease."

I AM ALS is calling on supporters to thank the Congressional champions who helped make this law possible at bit.ly/A4A-TY

Atomic Mobile unveils multi-carrier IoT service connecting devices across the globe
Image File
Original HTML

SPRING LAKE, N.J., Nov. 3, 2026 /PRNewswire/ -- Atomic Mobile today introduced Atomic Orbit , a cellular internet service designed to maintain connectivity for IoT devices by utilizing multiple carrier networks. The service addresses the critical need for reliable data access in scanners, tablets, POS terminals, and smart meters that frequently move across varying signal environments. Atomic Orbit offers global reach across hundreds of operators worldwide.

Relying on a single carrier often leads to coverage gaps, especially for mobile assets or devices deployed in diverse geographic regions. Atomic Orbit solves this by providing access to three national carriers and 18 regional carriers within the United States, alongside global multi-carrier support. This architecture ensures that devices automatically switch to the strongest available signal, maintaining uptime for essential business operations. By eliminating the limitations of a single-provider model, the platform enables enterprises to deploy devices globally without the risk of localized dead zones.

Aaron Ogden, VP of of Customer Success, says "Over the years, I've worked across finance, energy, education, logistics, and healthcare, and I've seen how much day-to-day operations depend on reliable connectivity. Whether it's a payment terminal processing a sale, a remote utility sensor reporting a reading, a fleet tracker sending its location, a field technician pulling up a work order on a tablet, or a backup solution, the connection matters wherever the work happens. A multi-carrier SIM gives organizations access to more than one network, helping keep devices connected as they move between locations or when coverage varies or fails."

The implementation of eSIM technology further simplifies logistics, allowing enterprises to manage profits by reducing the operational complexity of physical hardware swaps when changing service plans or carriers. This flexibility is critical for organizations looking to scale their IoT footprint without increasing administrative overhead.

Core functionality

- Network Agility: SIMs automatically transition between networks to secure the most robust connection available.

- Scalable Management: A centralized platform and API allow for bulk SIM management and the activation of both physical SIMs and eSIMs.

- Operational Transparency: Comprehensive audit logs track all modifications to SIM status, while integrated support ticketing systems streamline troubleshooting.

Atomic Mobile developed the product in response to direct requests from customers seeking a reliable multi-carrier service for connected devices both in domestic and international markets. The service is available now for enterprises requiring high-availability mobile connectivity.

Born in Development, Built for Enthusiasts: Direct Connection Launches New Performance Products at SEMA 2026

LAS VEGAS, Nov. 3, 2026 /PRNewswire/ --

- Factory-backed performance parts inspired by Ram 1500 Rumble Bee prototypes and Dodge Charger development vehicles headline expanded Direct Connection portfolio

- New products include Whipple superchargers, MagnaFlow exhaust systems, Ridetech suspension upgrades, cold-air intakes and the expansion of performance calibrations to Durango SRT Hellcat and Ram TRX SRT vehicles

From the SRT Performance division's power-obsessed parts arm, Direct Connection is giving Mopar enthusiasts access to enhanced performance with a new infusion of powertrain, exhaust, suspension and wheel upgrades unveiled at the 2026 SEMA Show. Drawing inspiration from some of last summer's most talked about concepts, including the Dodge Charger and Ram 1500 Rumble Bee prototypes seen at Roadkill Nights, Direct Connection brings enthusiast-requested performance tech from concept to reality in the form of dealer-backed performance upgrades.

The new catalog additions reflect Direct Connection's mission to deliver upgraded performance without compromise, offering enthusiasts access to components developed, validated and supported through the same engineering ecosystem responsible for some of Stellantis' most capable performance vehicles.

From Development Vehicle to Driveway

Many of the products debuting at SEMA first appeared on development vehicles, engineering demonstrators, halo models and prototype builds. Direct Connection is transforming these enthusiast-requested components into production-ready offerings that allow customers to recreate the appearance, sound and performance characteristics of their vehicles.

"One of the most common questions we hear after unveiling a concept vehicle, prototype build or custom halo product is, 'How can I get those parts for my vehicle?'," said Tom Sacoman, senior vice president, SRT Performance division, Stellantis North America. "Direct Connection exists to answer that question. For performance enthusiasts, the journey doesn't end when they take delivery. That's when it begins. The mission of Direct Connection is to enable our owners to upgrade their Mopars with the confidence that comes from factory-endorsed accessories."

Expanded Performance Parts Lineup

Direct Connection Supercharger Kit by Whipple for Ram 1500 Rumble Bee (P/N: 68815144AA)

The systems target up to 600 horsepower on Rumble Bee 5.7 models, up to 700 horsepower on Rumble Bee 392 and 392 Track Pack applications, and up to 900 horsepower on Rumble Bee 6.2 SRT models. The supercharger kits carry an MSRP of $10,995 before installation and plan to be available starting in the first quarter of 2027. If installed by an ASE-certified Mopar Level 3 technician, Direct Connection will honor the original five-year / 60,000-mile limited vehicle powertrain warranty.

Direct Connection Cat-back Exhaust Systems by MagnaFlow

New MagnaFlow exhaust systems bring sound and performance enhancements to customer vehicles. The Dodge Charger HO system delivers increases of up to 21 horsepower and 26 lb.-ft. of torque while maintaining OE exhaust valve integration and drive-mode functionality.

Ram 1500 Rumble Bee systems feature stainless-steel construction, premium finishing and Direct Connection branding. The cat-back exhaust systems have an MSRP before installation of:

- $2,299 for the Rumble Bee 392 / 392 Track Pack

- $2,399 for the Rumble Bee SRT

The Dodge Charger exhaust system has an MSRP of $3,399 (P/N: 68805432AA) and is planned to be on sale by the end of the year.

Each is backed by a MagnaFlow limited lifetime warranty against manufacturing defects and a one-year warranty on black-finish exhaust tips.

The wheel kit has an anticipated MSRP of $2,950 and is planned to be available by the end of the year.

The ALS Association Secures Major Legislative Victory with ACT for ALS Becoming Law
Image File
Original HTML

President signs the bipartisan measure, extending life-saving research and treatment access programs through 2031

ARLINGTON, Va., Nov. 3, 2026 /PRNewswire/ -- The ALS Association celebrates the signing of the ACT for ALS Act into law, a milestone the organization helped drive from the first conversations with congressional champions to the final bill signing. This is a significant victory for the ALS community. The reauthorization ensures that the research and treatment access programs established under the original ACT for ALS will continue through 2031, accelerating progress toward effective treatments and a cure.

This victory belongs to the entire ALS community. Working with bipartisan champions in Congress, the ALS Association helped shape and strengthen this legislation around the priorities people living with ALS and their families have consistently emphasized: moving faster, reducing barriers to access, and generating the evidence needed to turn promising research into approved treatments.

The ALS Association mobilized advocates across all 50 states and worked directly with partners on both sides of the aisle to shape and strengthen the bill. Their tireless advocacy helped ensure the legislation reflects the priorities of people living with ALS and their families, accelerating the development of effective therapies while ensuring accountability and transparency every step of the way.

"We must accelerate research and technology to help make ALS livable and cure it. To every advocate who walked into a congressional office and wouldn't leave without a commitment: you did this. To the families who shared their hardest moments, so other families might have more time: you did this," said Calaneet Balas, president and CEO of the ALS Association. "We're grateful to our champions on both sides of the aisle who helped make this legislation possible. People living with ALS cannot wait, and neither will we."

Since its initial passage in 2021, ACT for ALS has accelerated research into promising therapies. The reauthorization builds on that foundation, keeping research at the center so the field can learn which treatments truly work and deliver them to everyone living with ALS. That focus, grounded in the priorities of people living with ALS and families, is why the ALS Association pushed so hard to get it right.

This is a significant victory for the ALS community that will sustain funding for research, support for families, and an unrelenting push to accelerate the development of effective treatments. This work was possible because of the organization's leadership, partners in Congress, and most of all, the efforts of our advocates who showed up, met with lawmakers again and again, and refused to let this deadline expire.

About the ALS Association

The ALS Association is the largest ALS organization in the world. The ALS Association funds global research collaborations, assists people with ALS and their families through its nationwide network of care and certified clinical care centers, and advocates for better public policies for people with ALS. The ALS Association is working to make ALS a livable disease while urgently searching for new treatments and a cure. For more information about the ALS Association, visit our website at www.als.org.

Over the course of the disease, people lose the ability to move, to speak, and eventually, to breathe. The disease is always fatal, usually within five years of diagnosis. Few treatment options exist, resulting in a high unmet need for new therapies to address functional deficits and disease progression.

3M Reaches Broad Resolution of AFFF Personal Injury Litigation

3M to make $5.8 billion present value commitment through 2034 to resolve MDL personal injury claims, substantially reducing litigation risk and uncertainty

SAINT PAUL, Minn., Nov. 3, 2026 /PRNewswire/ -- 3M (NYSE: MMM) has entered into a broad resolution to settle PFAS-related personal injury claims that are the focus of the Aqueous Film-Forming Foam Multi-District Litigation ("AFFF MDL") in federal district court in South Carolina. The resolution also positions 3M to manage remaining and future personal injury claims both inside and outside the AFFF MDL.

Under the agreement, 3M will make a pre-tax $7.35 billion nominal commitment over nine years, with a present value of $5.8 billion. The agreement:

- Addresses approximately 99% of current personal injury claims inside and outside the AFFF MDL, involving approximately 115,000â120,000 plaintiffs eligible to participate in the resolution, including all personal injury claims that have been the focus of the AFFF MDL litigation.

- Includes a $50 million payment in 2026, and no payments in 2027, with approximately 20% of payments due in the final two years, to align to 3M's remaining payment obligations for other legacy settlements.

Remaining and future personal injury claims, both inside and outside the AFFF MDL, will be managed through several settlement mechanisms. These include payments contingent on plaintiffs joining the resolution, a $680 million reserve fund included in the overall financial commitment, and an anticipated MDL court order establishing evidentiary and timing requirements for plaintiffs who may seek to litigate in the future.

"This settlement is a significant milestone for 3M and substantially reduces litigation uncertainty," said William Brown, 3M Chairman and CEO. "Following our 2023 resolution with U.S. public water suppliers and our more recent settlement with the State of New Jersey, this is another important step in managing legacy PFAS matters. With this, we will continue our focus on transforming the enterprise, strengthening operating rigor and delivering predictable, long-term performance."

The legacy claims settled today primarily relate to PFAS compounds that 3M announced in 2000 it would voluntarily phase out and did so. In 2022, 3M further announced it would discontinue the manufacture of all PFAS globally by the end of 2025, and 3M successfully met that goal. 3M has invested in state-of-the-art water treatment technologies at sites where it historically manufactured PFAS and 3M will continue to remediate PFAS at those sites.

This agreement is not an admission of liability. If certain agreed settlement terms are not fulfilled, 3M is prepared to continue to defend itself in litigation.

Financial Considerations

As a result of the settlement, the company will record a pre-tax charge of $5.8 billion in the fourth quarter of 2026, representing the present value of contributions under the agreement.   This charge will be reflected as a special item when arriving at 3M's adjusted results, and does not change 3M's previously issued 2026 guidance. The payment structure, over nine years, provides predictable cash flow with payments aligned to reflect other company obligations. Additional details will be included in 3M's filings with the Securities and Exchange Commission.

The strength and stability of 3M's business model and strong free cash flow capability, together with proven capital markets access, provide financial flexibility to meet its cash flow needs under this agreement and other obligations, as well as to fund other investment and growth priorities.

Power Knot Congratulates Coral Beach Resort Sharjah on Sustain Sharjah Award

FREMONT, Calif., Nov. 2, 2026 /PRNewswire/ -- Power Knot LLC, the market leader for on-site organic waste management solutions, congratulates Coral Beach Resort Sharjah on winning the Sustain Sharjah Category for Hotel Properties at the Sharjah International Travel and Tourism Awards 2026. Presented by the Sharjah Commerce and Tourism Development Authority (SCTDA), the award recognizes the resort's success in diverting food waste from the landfill with the LFC biodigester.

A first for Sharjah

Coral Beach Resort Sharjah became the first hotel in the emirate to operate a biodigester on site. Instead of hauling food waste to landfill, where it decomposes and releases methane, the resort processes it on site, cutting emissions from decomposing waste and collection trucks. Using the LFC biodigester significantly reduces the resort's carbon foot print, improves operations, enhances security, and saves money. These environmental sustainability benefits were recognised by the judges and resulted in the award.

How the LFC biodigester works

The LFC biodigester uses beneficial microorganisms to convert food waste into grey water within 24 hours, which then flows safely to the drain. Staff load food waste throughout the day, with no bagging or bin storage. Every unit connects to the LFC Cloud, giving the resort real-time data on the waste processed and its environmental impact.

"Congratulations to Coral Beach Resort Sharjah. Their team has set a new benchmark for hotels in Sharjah, and we are proud the LFC biodigester is part of their story," said Shakeel Khaleel, Director of Sales and Marketing at Power Knot

SUMMIT HOTEL PROPERTIES REPORTS THIRD QUARTER 2026 RESULTS
Image File
Original HTML

Third Quarter Operating Income Increased 90.3% to $16.3 Million; Adjusted EBITDAre Increased 11.8% to $43.9 Million

Third Quarter Pro Forma RevPAR Increased 7.2%, Driving a 14.4% Increase in Pro Forma Hotel EBITDA

AUSTIN, Texas, Nov. 3, 2026 /PRNewswire/ -- Summit Hotel Properties, Inc. (NYSE: INN) (the "Company"), today announced results for the three and nine months ended September 30, 2026.

"We delivered outstanding third quarter results that exceeded expectations as operating fundamentals accelerated meaningfully during the quarter. Pro forma RevPAR increased 7.2 percent year-over-year driven by broad based demand growth and pricing power, particularly midweek in our urban markets. Our teams capitalized on this favorable operating backdrop to drive exceptional profitability growth as pro forma hotel EBITDA increased 14.4 percent with margins expanding nearly 200 basis points year-over-year. Growth in our portfolio was strong across the vast majority of markets and all demand segments, led by the accelerating recovery in business transient travel and the ongoing strength of group demand. Our outlook for the industry broadly and Summit specifically continues to improve. Based on our strong third quarter results and increased expectations for the fourth quarter, we have again raised our full year 2026 guidance ranges to reflect the positive momentum in our business," said Jonathan Stanner, President and Chief Executive Officer.

"We also continue to enhance our balance sheet and reduce borrowing costs. During the quarter, we repriced two term loan facilities totaling $475 million of borrowings, lowering the applicable interest rate by 20 basis points on those facilities. This follows the previous pricing reduction of our primary $650 million corporate revolving and term loan facility. We have no debt maturities until 2028 and approximately $350 million of liquidity, which positions the Company well for future growth," continued Mr. Stanner.

Third Quarter 2026 Summary

- Pro Forma RevPAR: Pro forma RevPAR increased 7.2 percent to $126.17 compared to the third quarter of 2025. Pro forma ADR increased 5.3 percent to $167.95 compared to the same period in 2025, and pro forma occupancy increased 1.8 percent to 75.1 percent.

- Pro Forma Hotel EBITDA(1): Pro forma hotel EBITDA increased 14.4 percent to $60.4 million from $52.8 million in the same period in 2025. Pro forma hotel EBITDA margin expanded 191 basis points to 32.6 percent in the third quarter.

- Adjusted EBITDAre(1): Adjusted EBITDAre increased 11.8 percent to $43.9 million from $39.3 million in the third quarter of 2025.

Year-to-Date 2026 Summary

- Pro Forma RevPAR: Pro forma RevPAR increased 4.0 percent to $129.91 compared to the same period of 2025. Pro forma ADR increased 4.5 percent to $174.70, and pro forma occupancy decreased 0.5 percent to 74.4 percent.

- Pro Forma Hotel EBITDA(1): Pro forma hotel EBITDA increased 5.9 percent to $195.2 million from $184.4 million.

- Adjusted FFO(1): Adjusted FFO increased to $84.6 million, or $0.70 per diluted share, compared to $81.3 million, or $0.66 per diluted share, in the same period of 2025.

The Company's results for the three and nine months ended September 30, 2026 and 2025 are as follows (in thousands, except per share amounts and metrics):

Transaction Activity

In July 2026, the Company completed the sale of the wholly-owned 103-guestroom Courtyard by Marriott, Dallas (Arlington South), TX and the 96-guestroom Residence Inn by Marriott, Dallas (Arlington South), TX for a combined selling price of $19.0 million. The combined sale price represents a 5.9 percent capitalization rate based on the net operating income for the trailing twelve months ended June 30, 2026, and after consideration of approximately $7.6 million of foregone near-term required capital expenditures.

Since 2023, the Company and its affiliates have sold 15 hotels for a combined sales price of approximately $219.0 million at a blended capitalization rate of approximately 4.7 percent, inclusive of an estimated $67.6 million of foregone capital needs, based on the trailing twelve-month net operating income at the time of each sale. The combined RevPAR for the sold hotels was $86, which is an approximate 30 percent discount to the current pro forma portfolio.

Capital Markets Activity

In September 2026, the Company amended its $200 Million Term Loan Facility and $275 Million Delayed Draw Term Loan Facility to conform the pricing grids and other material terms of these facilities with those of its recently amended $650 Million Senior Credit Facility.

Pursuant to the amended pricing grids, borrowings under the $200 Million Term Loan Facility and the $275 Million Delayed Draw Term Loan Facility bear interest at rates ranging from 135 to 225 basis points over the applicable adjusted Term SOFR rate. Based on the Company's leverage as of September 30, 2026, these amendments resulted in an initial 20 basis point reduction in the applicable interest rate. Furthermore, due to a reduction in the Company's quarter-end trailing twelve-month leverage ratio, the Company achieved an additional 15 basis point reduction in the interest rate spread across $675 million of term loan debt. Compared to the Company's pre-amendment pricing grid and June 30, 2026 leverage ratio, these spread reductions are expected to generate annual interest expense savings of approximately $2.4 million.

In connection with the amendment to the $200 Million Term Loan Facility, the initial maturity date was extended to February 2028. The Company retains the option, subject to certain conditions, to further extend the maturity date for up to two additional six-month periods.

Balance Sheet Summary

As of September 30, 2026, the Company's balance sheet reflected the following:

- Pro rata outstanding debt of $1.1 billion with a weighted average interest rate of 5.50 percent. After giving effect to interest rate derivative agreements, $539.1 million, or 51 percent, of our outstanding debt had a fixed interest rate, and $520.0 million, or 49 percent, had a variable interest rate.

- Pro rata unrestricted cash and cash equivalents of $51.9 million.

- Total pro rata liquidity of approximately $350 million, including unrestricted cash and cash equivalents and revolving credit facility availability.

- The Company's pro rata weighted average term to maturity was approximately 3.4 years, including extension options.

- No debt maturities until 2028.

- No balance outstanding under its Revolving Credit Facility.

Common and Preferred Dividend Declaration
